AGENCY AGREEMENT.
This Agency Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2021 (the “Effective Date”), between ____________, Conta (hereinafter referred to as the “Agent”), and ___________, (herein referred to as the “Artist/Client”).
NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:
- TERM.
The initial term of this Agreement shall be for a period of ___________ [Weeks/Months/Years], commencing on the Effective Date herein.
- SCOPE.
The Agent shall provide the Artist with agency services aimed at securing the Artist contracts for the sale of their art online. This shall include contract procurement, advertisement and promotion, social media marketing and networking for the Artist.
- COMPENSATION.
The Artist shall pay the Agent 10% commission of the final sale from any sale made as a result of the Agent’s efforts, the commission shall be paid from the gross amount, before taxes. Payment shall be made within ____ days upon completion of the sale.
- INTELLECTUAL PROPERTY.
The Parties understand that the relationship between them is that of an agency. The Artist shall, during the term of this Agreement, maintain ownership of all intellectual and/or copyright rights in the art pieces covered under this Agreement. The Agent shall not be held liable for any copyright infringement claims arising from or related to the art covered by this Agreement. The Artist shall hold the Agent blameless and/or defend the Agent against any and all such claims.
- INDEPENDENT CONTRACTOR.
The Agent shall work as an independent contractor. The Agent shall be fully responsible for payment of their own income taxes on all compensation earned under this Agreement. The Artist shall not withhold or pay any income tax, social security tax, or any other payroll taxes on the Agent’s behalf during the term of this Agreement.
- TERMINATION/CANCELLATION.
The Parties acknowledge that either Party can terminate/cancel this Agreement at any time provided that they issue a ___ Day Written Notice on the same. The Artist must pay the Agent any commissions due before the termination/cancellation is made effective.
- MODIFICATION, GOVERNING LAW AND JURISDICTION.
- This Agreement contains the entire Agreement between the Partners relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof. No modification of this Agreement shall be valid unless made in writing and signed by both Partners hereto.
- This Agreement shall be governed by and construed in accordance with the laws of ________ [State/Country]. Exclusive jurisdiction and venue shall be in ____________ [State/Country.
- Each party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in the negotiation, execution, delivery, performance, and any termination of this Agreement.
