AFFILIATION AGREEMENT

This Affiliation Agreement (hereinafter referred to as Agreement) is made and
entered into on _______ Between HAPPY JOINTS INC. of 43 East
Sussex Ave, Sewell, NJ 08080 (hereinafter referred to as “Medical Practice”)
and_______________________________ (hereinafter referred to as “Affiliate”)
together referred to as “parties”.
WHEREAS the Medical Practice and the Affiliate desire to implement a contractual
relationship to govern and bind their Affiliation Agreement.
NOW, THEREFORE, the parties agree to be bound by the following terms; –

  1. PURPOSE
    The purpose of this Agreement is to provide a mobile sports medicine practice for
    the evaluation and treatment of patients inside a nursing home and assisted living
    facilities.
  2. TERM
    This Agreement shall be for a term of __ years effective from the date indicated
    hereinabove.
    The Agreement shall be open for renewal once the same has been requested by
    either of the parties in writing before the lapse of the term indicated above.
  3. RESPONSIBILITIES
    a. Responsibility of the Affiliate.
    i. Will provide staff members for the orientation.
    ii. Will allow access to their residents for visitation.
    iii. Will allow access to their medical records for the patients.
    iv. Will allow the Medical Practice to bill the patient’s insurance
    directly.

b. Responsibility of the Medical Practice.
i. We will provide orientation to the Affiliate staff on how to use
the mobile sports medicine practice.
ii. Will provide 24 hours assistance services regarding the mobile
sports medicine practice.
iii. Will secure and maintain the mobile medical practice.

iv. Will comply with current policies in place by the Affiliate.

  1. FINANCIAL RESPONSIBILITY
    The parties agree that they will be responsible for the salary and benefits of all their
    respective employees.
    The Affiliate agrees to compensate the Medical Practice for their services to their
    patients.
    The Medical Practice agrees to provide the installation together with training on the
    mobile service usage to the Affiliate.
  2. PROFESSIONAL LIABILITY INSURANCE
    The parties herein agree to maintain their professional liability insurance coverage
    for all their respective employees.
  3. INDEMNITY
    Neither of the parties shall assume any liability to each other. In case of any injury,
    claims, or damages, each party does not waive its right to defense.
  4. TERMINATION
    This Agreement may be terminated by either party with or without reason by issuing
    a thirty (30) days prior written notice to the other party.
    The termination of this Agreement shall not extinguish the rights and responsibilities
    that may have accrued before the termination of this Agreement.
  5. NO ASSIGNMENT
    No party to this Agreement may assign, delegate or subcontract their duties,
    responsibility, or any part of this Agreement to a third party without prior written
    consent from the other party.
  6. CONFIDENTIALITY
    The parties agree that any information obtained in the cause of carrying out the
    duties and obligations and in fulfillment of the terms of this Agreement is confidential
    information that shall not be shared with any third parties without the prior written
    consent of the parties involved.

Failure to abide by the above will be deemed a breach of the term of this Agreement,
and the culprit will be held liable for any claims or damages that may arise from the
disclosure.

  1. SEVERABILITY
    Suppose any provision of this Agreement is found to be invalid or unenforceable by a
    court of competent jurisdiction. In that case, such provision will be severed and shall
    not affect the validity of the remaining provisions.
  2. ENTIRE AGREEMENT
    This Agreement constitutes the entire Agreement between the parties herein and
    supersedes any other agreement or promises between the parties subject to the
    matter herein.
  3. MODIFICATIONS
    Parties herein may modify the provisions of this Agreement by mutually agreeing and
    signing a written addendum to the same.
  4. GOVERNING LAW
    This Agreement shall be interpreted and governed by the laws of the state of
    .

    the aforementioned date and year.
