MASTER SERVICES AGREEMENT.

This Master Services Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2021 (the “Effective Date”), between Corey Tolbert and Kenny Pierre of United Artistry, LLC, Contact Info: ____________, (hereinafter referred to as the “Company”), and Anne R. Clark, the Principal, Boston Arts Academy, Contact Info: ____________ (herein referred to as the “Client”).

NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:

  • SCHEDULE OF WORK.

Thursday March 4th 2021 3pm to 7pm Second Group Pictures
Friday March 5th 2021 3pm to 7pm Third Group Pictures
Wednesday March 10th 2021 12pm Digital images shared with school for selection by students 
Wednesday March 17th 2021 12pm Client provides any requested edits to the Company
Monday March 22nd 2021 12pm Final digital images are delivered to the Client
Monday April 12th 2021 12pm  Final print packages are delivered to the Client

  • SCOPE.
      1. Company obligations.
        1. Provide professional photography for 99 graduating seniors for the Boston Arts Academy, with a choice of 2 background options.
        2. Provide and use photography props as applicable.
        3. Provide printed photography packages including (1) 5*7 (2) 4*6 (8) 2*3 (wallet) prints.
        4. Flash drive with all digital images 
        5. Provide an online gallery for the viewing of the images and an online ordering portal for purchase of additional packages.
      2. Client obligations. 
        1. Shall provide the facility where the photography/work shall be performed.
        2. Make sure that each student pays the Twenty Five Dollar ($25) fees per photo package and cover the cost for any individual students who is unable to pay.
        3. The Client’s representative shall remain onsite all the time to assist with student identification and organization.
  • PAYMENT.

The Company shall submit an invoice to the Client of the students that have not paid by Monday March 9th, 2021. The Client shall pay the invoice within 30 days of receipt.

Individual students shall be responsible for payment of additional photography packages at the time of purchase.

  • TERMINATION/CANCELLATION.

The Parties acknowledge that either Party can terminate/cancel this Agreement at any time provided that they issue a ___ Day Written Notice on the same. If the Client terminates/cancels this Agreement after the first photography session, the Client shall be responsible for prorated amount Twenty Five Dollars ($25) per student captured.

  • INDEPENDENT CONTRACTOR.

The Company shall be retained as an independent contractor.  The Company shall be fully responsible for payment of their own income taxes on all compensation earned under this Agreement.  The Client shall not withhold or pay any income tax, social security tax, or any other payroll taxes on the Company’s behalf during the term of this Agreement.

  • LIABILITY/INDEMNITY/WAIVER.
  1. The Company shall not, during the term of this Agreement, be held liable for any injuries sustained by any student while carrying out their obligations under this Agreement, as long as the injuries are not in any way due to the Company’s negligence. The Client agrees to indemnify the Company against any claims that may arise from the performance of this Agreement.
  2. The waiver by either party of any breach or failure to enforce any of the terms and conditions of this Agreement at any time shall not in any way affect, limit, or waive such party’s right thereafter to enforce and compel strict compliance with every term and condition of this Agreement.
  • DISPUTE RESOLUTION.

Any dispute, claim or controversy arising from or related to this Agreement, including the determination of the scope or applicability of this Agreement to arbitrate, shall be determined by arbitration before one arbitrator to be mutually agreed upon by the parties.

  • GENERAL PROVISION, GOVERNING LAW AND JURISDICTION.

This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof.  No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.

This Agreement shall be governed by and construed in accordance with the laws of the State of Massachusetts, USA. Exclusive jurisdiction and venue shall be in Massachusetts, USA.

This Agreement shall be binding upon and inure to the benefit of the Company and the Client and their respective successors and assigns, provided that the Client may not assign any of their obligations under this Agreement without the Company’s prior written consent.  

Each party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in the negotiation, execution, delivery, performance, and any termination of this Agreement.

IN WITNESS WHEREOF, this Agreement has been executed by the parties as of the Effective Date.
