VIDEO EDITING SERVICE AGREEMENT

This Video Editing Agreement (hereafter referred to as “Agreement”) is made on this ______ day of ______ 2021 between MedCity Media Production, LLC, Contact Info: _________________________ (hereafter referred to as “MedCity Media Production”) and ______________________, Contact Info: ______________________ (hereafter referred to as “Client”).  

WHEREAS, “Services” shall refer to the specific services listed under the Scope of Services that MedCity Media Production will provide to Client.

NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:

  • TERM.

The initial term of this Agreement shall be for a period of ___________ [Days/Weeks/Months/Years] commencing on the Effective Date herein.

  • SCOPE OF SERVICES
      1. MedCity Media Production will be responsible for editing movies, video images, photographs, pdf files (“Materials”) along with editing and synchronizing audio with images and adding text for titles based off the Materials that are sent by the Client.  
      2. MedCity Media Production will provide a script to the Client for review and approve within one full business day.  Client will need to respond back with approval or updates to the script. 
      3. MedCity will work with a hired freelancer on voice over with the approved script.
      4. MedCity will deliver a 30-second video developed based on Materials sent by the Client.
      5. MedCity Media Production will work directly with the Client.  Client will provide material for video(s), final approval on script and services completed.
      6. MedCity Media Production may not start work until all Materials are received from the Client including all other information requested by MedCity Media Production.  If not received within required time frame, could cause delay completion of Services.
      7. MedCity Media Production reserves the right to use the final product produced from the video editing Services as part of a portfolio.
  • PAYMENT FOR SERVICES
      1. Client shall pay a non-refundable fees of ____________ Dollars on the Effective Date herein.
      2. Upon completion of the commercial, MedCity Media Production will invoice the Client for the lump sum, due upon receipt, by email.  Commercial may not be used until payment has been received.
      3. Client shall pay for services in a lump sum of $________ USD, due upon receipt, upon receiving invoice.  Invoice will be sent to {Client Contact (email)} by email and payment will be mailed to MedCity Media Production, LLC (address listed in invoice).
  • COPYRIGHT.

The Client warrants that they own the proprietary rights to the materials provided to Medcity Media Production for the services provided herein and/or they have acquired the right to use from the owner of such materials. Client hereby agrees to indemnify and hold MedCity Media Production, Affiliates, officers, directors, employees, consultants and agents harmless against any and all claims, costs, and expenses, including attorney’s fees, due to materials in the design at the request of Client, to which the Client does not possess copyright permission or usage rights.

  • FORCE MAJEURE.

The failure on the part of the MedCity Media Production to perform their obligation under this contract will not be considered as default if such failure is the result of natural calamities, acts or God, Covid-19, extreme adverse disasters and circumstances beyond the control of the parties. MedCity Media Production shall inform the Client of such inconveniences promptly.

  • TERMINATION/CANCELLATION.

The Parties acknowledge that either Party can terminate/cancel this Agreement at any time provided that they issue a Written Notice on the same. In the event the Agreement is cancelled, the Client will be responsible for payment on a pro-rated bases based on Services completed by MedCity Media Production prior to cancellation.

  • ENTIRETY/MODIFICATION.

This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof.  No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.

  • GOVERNING LAW AND JURISDICTION.

This Agreement shall be governed by and construed in accordance with the laws of the State of Minnesota, USA. Exclusive jurisdiction and venue shall be in Minnesota, USA.

IN WITNESS WHEREOF, this Agreement has been executed by the parties as of the Effective Date.
