INVESTMENT AGREEMENT.

This Investment Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ______ day of _______ 2021 (the “Effective Date”), between David Plourde, Contact Info: ________________ (hereinafter referred to as the “Investor”), 6 Degrees Media LLC, Contact Info: ____________ (herein referred to as the “Company”).

NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:

  • TERM.

The initial term of this Agreement shall be for a period _______ [Years], commencing on the Effective Date herein.

  • INVESTMENT.
  • The Investor shall invest Six Thousand Dollars ($6,000) into the Company in exchange for share entitlements.
  • Starting from 2022, the Company shall make a profit payout of 25% to the Investor on a quarterly basis until the initial investment is returned. For the next Three Years and Two Months thereafter, the Company shall make a profit payout of 6%, paid on quarterly basis ending 02/28/2025.
  • In the event that the Company is dissolved prior to 02/28/2025, the Investor shall receive 15% of all profits made when the Company is sold.
  • LIABILITY/INDEMNITY

The Investor shall not be held responsible for any legal issues arising that may involve the Company. The Company agrees to hold the Investor blameless and to indemnify and to defend the Sponsor against any legal issues involving the Company.

  1. DISPUTE RESOLUTION.

In the event of disputes arising about the execution of this Agreement and/or performance of obligations stated herein, the Partners shall solve such issues through a mediation process.

  • TERMINATION/CANCELLATION.
      1. Parties agree that either Party can terminate/cancel this Agreement at any given time, provided that the intending Party provides the other Party a _____ Day Written Notice on the termination/cancellation. The Company agrees to pay the Investor all their investment amount back plus ___% interest within ________ Days upon the termination/cancellation of this Agreement.
      2. If the Investor dies or is incarcerated during the term of this Agreement, the Agreement shall automatically be declared terminated/cancelled.
  • MODIFICATION.

This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof.  No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.

  • GOVERNING LAW/JURISDICTION.

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, USA. Exclusive jurisdiction and venue shall be in Florida, USA.

Each party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in the negotiation, execution, delivery, performance, and any termination of this Agreement.
