This Sponsorship Agreement (hereinafter referred to as the “Agreement”) is made on __________________XXX by and Between XXX (hereinafter the “Sponsor”) and XXX (hereinafter referred to as the “Company”). Together referred to as the “Parties”.
WHEREAS the Sponsor wishes to support the Conference and the Company wishes to accept the support provide; –
NOW THEREFORE, in consideration of the promises and covenants contained herein, the parties agree as follows; –
This agreement shall be effective from XXX, to XXX, unless otherwise terminated under the provisions of this agreement.
- Sponsorship rights.
The sponsor wishes to support the conference by contributing ____________ to the Company within 30 days from the date of signing this agreement.
- Trademark and Copyright.
Parties herein agree and acknowledge that the Company owns the logos, videos, and pictures from the conference and the Sponsor can only utile the same with written permission from the Company.
- Termination.
Parties agree that the terms of this agreement shall be terminated in the event the Sponsor does not make the above-mentioned payments as agreed.
- Dispute Resolution.
Any controversy or claim arising out of or relating to this Agreement, or the breach thereof shall be mutually negotiated between the parties, failure of which, the dispute shall be settled by a neutral arbitrator whose decision shall be final.
- Governing Law.
This Agreement shall be construed, governed, interpreted, and applied according to the Laws of the XXX
The waiver by either party of the breach of any covenant or provision in this Agreement shall not operate or be construed as a waiver of any subsequent breach by either party.
In the event a court of competent jurisdiction declares any term or provision of this Agreement to be invalid or unenforceable for any reason, it will be severed from this agreement and the remaining terms of this Agreement will remain in full force and effect.
- Entire Agreement.
This agreement constitutes the entire understanding between the parties regarding the subject matter hereof and supersedes any prior written or oral understanding, promises, or covenants concerning this subject matter.
The parties to this agreement agree to indemnify and hold harmless the other party from all claims, damages, and costs arising either directly or indirectly from the performance of this Agreement.
This agreement cannot be amended without the written consent of all partners.
Neither party to this agreement may assign the rights and obligations contained herein to any other third party.
IN WITNESS WHEREOF, the parties hereunto set their signatures and acknowledged this Agreement.
