REFERRAL AGREEMENT
THIS AGREEMENT is hereby entered into on this ………………day of …….……………. Two Thousand and ……………………………
BETWEEN
1.XXX, with an address at [Referrer’s Address], United Kingdom, hereinafter referred to as the (“Referrer,”)
AND
- XXX LLC, with it’s a principal place of business at, XXX, hereinafter referred to as referred to as the (“Company.”)
- TERM:
3.1 This Agreement shall commence on the Effective Date and shall continue in effect until terminated by either party with written notice.
- REFERRAL PROGRAM DETAILS:
4.1 Under this Agreement, the Company agrees to compensate the Referrer for successfully referring new customers to the Company’s products or services. The Referrer’s compensation will be based on a commission structure for each referred customer’s first order. The commission rate shall be 48% of the total value of the referred customer’s first order, excluding taxes, shipping, and other additional charges.
- ELIGIBILITY AND REFERRAL PROCESS:
5.1 The Referrer may refer individuals or entities who are not existing customers of the Company.
5.2 Referrals can be made by informing potential customers about the Company’s products or services and providing them with the Referrer’s unique referral link or code.
- PAYMENT SCHEDULE:
Payments will be made to the Referrer on a bi-monthly net 15 basis. The payment schedule is as follows:
6.1 On the 1st day of every month, the Company will pay the Referrer the unpaid commission amounts for referred customers whose first order occurred from the 1st to the 15th day of the previous month.
6.2 On the 15th day of every month, the Company will pay the Referrer the unpaid commission amounts for referred customers whose first order occurred from the 15th to the 30th day of the previous month.
- INVOICING AND PAYMENT PROCESS:
7.1 The Referrer is responsible for issuing invoices to the Company in order to receive payment for the commission earned through the referral program. Invoices should be sent to the Company’s designated email address: xxx@xxxxx.xxx.
7.2 Invoices must include the following information:
- a) Referrer’s name and contact details
- b) Invoice number and date
- c) Description of services rendered (referral commission for new customers)
- d) Total commission amount due
- e) Payment details (bank account information, PayPal details, etc.)
7.3 The Company will process payments within five (5) business days of receiving a valid invoice.
- CONFIDENTIALITY:
8.1 Both parties agree to maintain the confidentiality of all information exchanged under this Agreement. This includes but is not limited to customer details, pricing, financial information, and any other proprietary business information.
- DISPUTE RESOLUTION:
9.1 In the event of any dispute arising out of or relating to this Agreement, the Parties agree to first attempt to resolve the matter amicably through mediation. If mediation does not result in a resolution, the dispute shall be settled through binding arbitration in accordance with the rules of the American Arbitration Association. The costs of mediation and/or arbitration shall be borne by the party initiating the dispute.
- TERMINATION:
10.1 Voluntary Termination: Either party may terminate this Agreement by providing written notice to the other party. Termination shall be effective on the date specified in the notice.
10.2 Termination for Cause: Either party may terminate this Agreement immediately if the other party breaches any material term or condition of this Agreement and fails to remedy such breach within [number] days of receiving written notice specifying the breach.
10.3 Effect of Termination: Upon termination of this Agreement, the Company shall settle any outstanding commission payments earned by the Referrer up to the date of termination. The Referrer shall cease making any further referrals and using the Company’s branding, trademarks, and materials for referral purposes.
- GOVERNING LAW AND JURISDICTION:
11.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Oregon, United States without regard to its conflict of law principles.
11.2 Jurisdiction: Any legal action or proceeding arising under or in connection with this Agreement shall be brought exclusively in the courts of Oregon, and the parties hereby submit to the personal jurisdiction of such courts.
- ENTIRE AGREEMENT:
12.1 This Agreement constitutes the entire understanding between the parties, supersedes all prior discussions, negotiations, and agreements, whether written or oral, relating to the subject matter herein.
- SEVERABILITY:
13.1 If any provision of this Agreement is held to be invalid or unenforceable under applicable law, such provision shall be deemed stricken while the remaining provisions shall continue in full force and effect.
- AMENDMENT AND WAIVER:
14.1 Any amendment or modification to this Agreement shall be valid only if executed in writing and duly signed by both parties. The waiver of any breach or default under this Agreement shall not constitute a waiver of any subsequent breach or default.
