AFFILIATION AGREEMENT
This Affiliation Agreement (hereinafter referred to as the “Agreement”) is made and
entered into on ___________________ Between XXXX LLC 1309 of XXX (hereinafter referred to as the
“Company”) and_______________________________ (hereinafter referred to as
“Affiliate”) together referred to as “parties”.
WHEREAS the Company and the Affiliate desire to implement a contractual
relationship to govern and bind their Affiliation Agreement.
NOW, THEREFORE, the parties agree to be bound by the following terms; –
1. Purpose.
The purpose of this Agreement is to sell marketing and automation services. The
clients will book a call with us, get a quote, and thereafter make the payments.
The payments may be made upfront or after the work is complete, depending on the
client’s situation.
2. Term.
This Agreement shall be indefinite until otherwise terminated by either party as
provided for under this Agreement.
3. Responsibilities.
Parties herein agree that the affiliate shall refer clients to the Company.
The Company will know that the referral is coming from the affiliate because the
affiliate will use a unique link to advertise for the Company or if the client tells us
directly the name of the referral.
4. Payments.
Parties herein agree to the following: –
i. The affiliate will get a 10% commission for every client they refer to the
Company.
ii. The affiliate will get a one-time commission if it is a one-off job.
iii. If the client ends up paying the Company a monthly fee, the affiliate will get a
10% of that recurring fee for as long as their referral stays with the Company.
Payment shall be made 45 days after their referrals have made the necessary
payments to the Company.
5. Indemnity.
Neither of the parties shall assume any liability to each other. In case of any injury,
claims, or damages, each party does not waive its right to defense.
6. Termination.
Either party may terminate this Agreement with or without reason by issuing a ten
(10) days prior written notice to the other party.
The Company may terminate the terms of this Agreement for the following reasons
but not limited to; –
i. If the affiliate does not send the Company a referral for 30 days.
ii. Not hearing from the affiliate for more than 14 days.
iii. If the affiliate does anything to damage the Company’s reputation/brand
image.
The termination of this Agreement shall not extinguish the rights and responsibilities
that may have accrued before the termination of this Agreement.
7. No Assignment.
No party to this Agreement may assign, delegate or subcontract their duties,
responsibility, or any part of this Agreement to a third party without prior written
consent from the other party.
8. Confidentiality.
The parties agree that any information obtained in the cause of carrying out the
duties and obligations and in fulfillment of the terms of this Agreement is confidential
information that shall not be shared with any third parties without the prior written
consent of the parties involved.
Failure to abide by the above will be deemed a breach of the term of this Agreement,
and the culprit will be held liable for any claims or damages that may arise from the
disclosure.
9. Severability.
Suppose any provision of this Agreement is invalid or unenforceable by a court of
competent jurisdiction. In that case, such provision will be severed and shall not
affect the validity of the remaining provisions.
10. Entire Agreement.
This Agreement constitutes the entire Agreement between the parties herein and
supersedes any other agreement or promises between the parties subject to the
matter herein.
11. Modifications.
Parties herein may modify the provisions of this Agreement by mutually agreeing and
signing a written addendum to the same.
12. Governing Law.
This Agreement shall be interpreted and governed by the laws of the state of
Wyoming.
IN WITNESS THEREOF, the parties have caused this Agreement to be signed on
the date mentioned above and year.
