Data Sharing and Ownership Clause
Under this Clause, unless the context so otherwise requires and permits, the following terms shall apply as follows: –
- “Company” means Bona Fide Hotels LLC; and
- “User” means Hotel.
1.0 Bona Fide Hotels LLC solely and exclusively owns and retains all right, title, and interest, whether express or implied, in and to all Bona Fide Hotels LLC data.
1.1 The User has no and acquires no right, title, or interest, whether express or implied, in and to Company data. The User will only use the Company’s data for the purposes set forth in the Contract.
1.2 User will only use Company’s data as necessary for performance of this Contract.
1.3 The Company will share the data with the User via a csv file upon the User’s request.
1.4 All Company data, including copies, summaries, and derivative works thereof, must be remitted, in a mutually agreeable format and media, to the Company by the User upon request or upon completion, termination or cancellation of the Contract. The foregoing sentence does not apply if the Board of Directors of Bona Fide Hotels LLC authorizes in writing the User to sanitize and/or destroy the data and the User certifies in writing the sanitization and/or destruction of the data.
1.5 Within ninety days following any remittance of Company data to the Company, the User shall, unless otherwise instructed by the Company in writing, sanitize and/or destroy any remaining data and certify in writing that the sanitization and/or destruction of the data has occurred.
1.6 Any such remittance, sanitization or destruction will be at the User’s sole cost and expense.
