PHOTOSHOOT AGREEMENT
This Agreement is made on this _______ day of ________ 20XX by and BETWEEN
VENA THREADS (herein after referred to as the “Clothing Company”) and XXX
PHOTOGRAPHY (hereinafter referred to as the “photographer”). Together referred to
as “parties”.
WHEREAS the Clothing Company is desirous of launching its clothing line; and
WHEREAS the Photography is willing to provide the photography services.
The parties herein agree to be legally bound by the following terms; –
1. Term.
This agreement shall be for a period of ________.
2. Services.
Parties herein agree that the Photographer shall take the product shots from her studio
in Hondo, Texas and doing a lifestyle photoshoot in Austin, Texas.
3. Purpose.
Parties herein agree that the purpose of the services herein is to help promote the
launch of the Clothing Company’s clothing line.
4. Compensation.
Parties agree that in exchange of the services provided herein, the Photographer shall
be entitled to select one free outfit, one top and one bottom which will be mailed to the
Photographer once the Clothing Company is in receipt of the products.
5. Confidentiality.
Parties herein agree that any information obtained from the performance of the services
in this agreement that relate to the business, shall be deemed confidential, and the
same will not be shared with any third parties without the other party’s prior written
consent.
6. Marketing.
Both parties agree that the Photographs will be used to promote both businesses
positively and not to negatively impact the business.
7. Governing Law.
Parties agree that the terms and provisions herein shall be governed and construed in
accordance with the laws of the State of California.
8. Dispute Resolution.
The parties herein agree that in the event of a dispute arising from the terms and
conditions herein, the agreement shall be deemed terminated immediately and the
dispute mutually negotiated between them in good faith.
9. Severability.
In the event any provision in this agreement is deemed invalid or unenforceable by a
court of competent jurisdiction, the same shall be severed from the agreement and the
remaining provisions shall continue in existence and apply in full force and effect as if
the unenforceable provisions were not part of the agreement.
10. Assignment.
The duties and responsibilities herein shall not be assigned to any third parties without
the prior written consent of the other party.
11. Waiver.
The failure of either party to enforce a certain breach in this agreement shall not be
deemed as a waiver of the enforcement of any present of future breaches.
12. Entire Agreement.
This agreement and the terms herein contain the complete understanding between the
parties and supersedes any prior written or oral agreements, promises or undertakings.
