AGENCY AGREEMENT.
This Agency Agreement (hereinafter referred to as the “Agreement”) is entered
into on this ________ day of __________ 20__by and between ________________
(hereinafter referred to as the “Agent”) and ____________________ (hereinafter
referred to as the “Client”). Together referred to as “parties.”
WHEREAS the parties agree to be mutually bound by the terms and obligations
provided hereunder; –
1. Purpose.
Parties agree that the Agent will have the responsibility of calling multiple locations to
find a customer for the vending services, posting on having a location that is in need
of a vendor.
The client will thereafter (if interested) contact the Agent who will answer all
questions without giving away the specifics of the location.
The client will thereafter sign the contract, make the necessary payment and the
Agent will then send the information needed to contact the location.
2. Compensation.
The parties agree that the Agent’s finder’s fee shall be $500 to be paid before the
information on the exact whereabouts or contact information of the location.
The agreed payment method shall be by ___________________.
3. Refunds.
There will be no refund in the event the client is not able to seal the deal with the
customer since it is not the responsibility of the Agent save for connecting the two
parties (client and customer) so that they can discuss terms.
4. Dispute Resolution.
If there arises any dispute regarding the provisions of this agreement, the same shall
be negotiated in the first instance between the parties; if it fails, the argument shall
be taken to litigation in accordance with the applicable laws.
The parties shall cater for their legal costs.
5. Termination.
Either party to this agreement may terminate the terms herein at any moment without
the issuance of a notice or any reason as long as there is no active referral.
However, the Agent’s grounds for terminating this agreement may include but are
not limited to the following; –
i. Approaching customer directly.
ii. Failure to make payments.
iii. Payment not being made on time.
6. Non-Disclosure.
The client acknowledges that during the performance of the obligations under this
agreement, they will come into contact with confidential information i.e. the location,
to which they acknowledge and agree not to disclose to any third parties without the
prior written consent from the Agent.
7. Guarantee.
The Agent hereby guarantees to the Client that the information being issued about
the location and their need for vending services is true and correct and the Agent will
indeed send the client the information to contact the location after the finder’s fee has
been paid.
8. Modification.
The parties herein may only modify or amend the terms by the same being reduced
into writing and signed by both parties willingly.
9. Waiver.
The parties agree that no waiver of the rights under this agreement shall be
construed as a continuing waiver or as a consent to any future or subsequent
breaches.
10. Entire Agreement.
This agreement constitutes the entire agreement between the parties herein and
supersedes any prior oral or written agreements or promises.
11. Severability.
Suppose any provision of this agreement is deemed invalid or unenforceable by a
court of competent jurisdiction. In that case, the same shall be severed from this
agreement, and the remaining provisions shall continue in existence and full force
and effect.
12. Acceptance.
By the parties signing herein below, they accept to be legally bound by the terms and
provisions of this agreement.
