COURSE DEVELOPMENT AGREEMENT
This Course Development Agreement (“Agreement”) is made the _____ day of
_________, 2022, by and between __________________ (hereinafter "Author,"
and if there is more than one author, then all of them collectively) and Calink LLC
(hereinafter “CAL”).
1. Services.
The Curriculum Designer and CAL intend this to be a contract for services, and
each considers the products and results of the services to be rendered, the Designer
under it ("Work") to be work made for hire.
The curriculum materials, the outline, and proper setup and naming will be
consistent with the CAL calendar and the delivery environment, which constitutes
the courses and the academic year per the course quality guidelines provided by
CAL.
2. Consideration.
In consideration for delivery of the Work following the provisions of this
Agreement, CAL shall pay the Designer $____________.
Payments shall be made on delivery and acceptance of the Work.
3. Delivery.
The Work is generally described as follows:
The Designer/Collaborator is responsible for contributing to the design and
development of the Speech Communications curriculum.
This curriculum is to include a course syllabus, daily lesson plans, as well as
the complete and proper creation of any accompanying supplemental
materials (e.g., handouts and worksheets).
4. Intellectual Property.
The Curriculum Designer acknowledges and agrees that the Work (and all rights
therein, including, without limitation, copyright) belongs to and shall be CAL’s
sole and exclusive property.
The Curriculum Designer agrees that the Work is the sole and exclusive property
of CAL, and shall not be shared, sold, or loaned to anyone or any entity outside of
CAL.
5. Copyright.
Except for short excerpts from others’ works, which constitute fair use, the Work
will contain no material from other copyrighted works without the written consent
of the copyright holder.
The designer will obtain such consent at their own expense.
Any obligations associated with permissions will be the responsibility of the
designer.
The Designer must indicate the source of any third-party copyright material
included in the Course Materials [i.e., provide the CAL project team with
sufficient details to find the source and cite it].
6. Warranties.
The Designer warrants for him/herself, that to the best of his/her ability,
knowledge, and belief, the Work provided by each of them will not be obscene,
libelous, defamatory, or otherwise illegal and will not infringe any other third-
party rights.
7. Governing law.
This agreement shall be interpreted and governed in accordance with the laws of
the state of Texas.
8. Dispute resolution.
If there arises a dispute between the parties regarding the services, performance, or
obligations under this agreement, the same shall be mutually negotiated between
the parties in good faith.
9. Termination.
If these or any requirements in this document are not met as agreed herein, CAL
reserves the right to withdraw from this Agreement.
10. Entire Agreement.
This Agreement constitutes the Agreement made between the Parties, the
Designer, and CAL (including any documents referenced with the Agreement)
concerning the course development and materials, which supersedes any
communication done in prior understandings, representations, or agreements
between the Parties. Amendments to this Agreement will not be valid unless made
in writing and signed by both parties.
11. Notice.
Whenever notice is required to be given under this Agreement, the notice will be
sent to:

12. Assignment.
The terms and obligations shall bind the parties and their respective successors and
assigns.
13. Waiver.
The lack of enforcement of any rights and obligations under this Agreement does
not mean a waiver of any present or future violation.
14. Amendment.
This Agreement may only be amended or modified by an agreement signed by both
parties.
15. Severability.
If any term or provision under this Agreement is deemed unenforceable by a court
of law, the same shall be severed from the Agreement, and the remaining condition
shall continue to be in full force and effect.
