INDEPENDENT CONTRACTOR AGREEMENT
This Independent Contractor Agreement is made on this ____________________
between ___________________________ (hereinafter referred to as the
“Company”) and _____________________ (hereinafter referred to as the
“Contractor”). Together referred to as parties.
Whereas the Company and the Contractor have agreed to be mutually bound by the
following terms of the Contract; –
1. Services.
The Contractor shall provide the services of using the editor’s or the content creator’s
work for monetization and distribution purposes.
The Company shall provide all the necessary items for delivery of the service herein
i.e., media, internal files, logo sets, etc
2. Term.
The Agreement between the parties shall be on a month-to-month basis with the
option of renewal after every month.
3. Compensation.
In consideration of the services being provided, the Contractor shall be entitled to
receive a payment of _________.
The payment of the above-stated compensation shall be made once the services
have been finalized and delivered.
Parties herein agree and acknowledge that the contractor will not have any say or
profit in the work that they are delivering.
4. Confidentiality.
The Contractor herein acknowledges that during the performance of the duties and
responsibilities listed in this agreement, they will come across confidential
information and agree not to disclose or share with any third parties not privy to this
agreement without prior written consent from the Company.
The Contractor agrees to the term mentioned above, and failure to comply or breach
thereof shall terminate the agreement immediately.
5. Intellectual Property.
The contractor shall be dealing with proprietary media, logos, and internal software
which exclusively belong to the Company, and the contractor does not have any
claim or pass off as theirs.
6. Termination.
The Company can terminate this agreement anytime without any notice to the
Contractor.
7. Dispute Resolution.
If there arises any conflict or dispute during the performance of this agreement, the
same shall be negotiated between the parties amicable. If the same fails, the
disagreement or dispute shall be referred to a neutral arbitrator whose final decision
will be binding upon the parties.
8. Governing Law.
The provisions of this agreement shall be governed and interpreted in accordance
with the laws of ________.
9. Severability.
Suppose a provision or term in this agreement is declared invalid or unenforceable
by a court of law. In that case, the same shall be severed from this agreement, and
the remaining provision shall continue to be in effect and binding upon the parties.
10. Waiver
The failure of either party to enforce any provision of this Agreement shall not be
construed as a waiver or limitation of that party’s right to subsequently enforce and
compel strict compliance with every provision of this Agreement.
11. Assignment.
The parties shall not assign the duties and responsibilities under this Agreement to
any third parties.
12. Entire Agreement.
The terms of this agreement reflect the complete agreement between the parties
herein and supersede any prior oral or written negotiations or promises.
13. Binding Effect
This Agreement shall bind the parties, their respective successors, and permitted
assigns.
