MANAGEMENT AGREEMENT
This Management Agreement is entered into on __________ by and between
___________________ (hereinafter referred to as the “Company”) and
____________ (hereinafter referred to as the “Client”). Together referred to as
“parties”.
WHEREAS the parties herein agree that the Company shall provide management
duties for the Client who is a brand/erotic masseuse who will be hosting events and
creating online content.
Parties agree to be legally bound by the following terms; –
1. Term.
This Agreement shall be from the date of signing hereof (the “Effective Date”) for a
period of one year, then a six-month review interval where the relations can be
terminated or extended for another six months with agreement from both parties.
2. Payment.
Parties agree to the following fee structure; –
0 – $2500 monthly gross – 22.5%
$2501 – $4000 monthly gross – 21%
4001 – 5500 monthly gross – 19.5%
5500+ 18%
Parties agree that aside from the projects where the Company sub-contracts as
different roles, in which case the money paid to the Company for that role is
subtracted from the gross monthly.
Parties agree to the following Milestone Bonus based on followers across social
media increase; –
(+ 15%) $100
(+ 30%) $200
(+ 45%) $300
The payment shall be paid electronically on the 3 rd to 10 th day of every month.
3. Access.
The Client herein agrees and acknowledges to give the Company full access to their
account at any time together with any passwords.
4. Responsibility.
Parties herein agree to the following duties and responsibilities for the Company as
the Manager; –
Deal Representation
Event co-management
Sponsor recruitment
Idea execution
Offerings expansion
Brand growth
Advisor
Co-overseeing of Financials
5. Governing Law.
The parties herein agree that the provisions of this Agreement shall be governed in
accordance with and governed by the laws of the state of New Jersey.
6. Confidentiality.
The parties agree and acknowledge that they both own valuable trade secrets and
other confidential information, e.g., passwords. The parties agree they will not
disclose to any third parties without the prior written consent of the other party.
The Agency acknowledges that it will not use the social media platforms for the
Model in any way that will be perceived as being negative or against the law.
7. Dispute Resolution.
If there is a dispute between the parties, the same shall be negotiated between
them, and if it fails, the dispute shall be referred to third-party mediation.
Each party shall bear its costs.
8. Termination.
The parties herein agree that either party has the right to terminate this agreement
with a penalty at anytime aside from the negotiation period between renewal (for
which there is no penalty)
Off-cycle termination by SageTheGodsis LLC – 1.5x the previous months’
earnings.
Off-cycle termination by Jomni Talent Management LLC – forfeiture of current
months earnings.
9. Entire Agreement.
This Agreement constitutes the complete Agreement between the parties and
supersedes any prior written or oral agreements or understandings.
10. Severability.
If any provision of this Agreement is deemed invalid or unenforceable by a court of
law, the same shall be severed from the Agreement, and the remaining provision
shall continue in full force and effect.
11. Amendment.
In the event of any amendment or modification, the same shall be agreed upon
between the parties, put into writing, and signed by the parties.
12. Waiver.
The failure of any party to exercise any right or provision of this Agreement shall not
be considered a waiver of any prior or subsequent rights.
