BUSINESS TRANSFER AGREEMENT

This BUSINESS TRANSFER AGREEMENT (‘’this Agreement’’) is entered into between [NAME OF TRANSFEROR] of address [ADDRESS] (“Transferor”) and [NAME OF TRANSFEREE] of address [ADDRESS] (“Transferee”) on [DATE] (“Effective date”).

Whereas the Transferor desires to transfer his Amazon Account and the Transferee desires to buy the e- commerce business account operated by Amazon;

Whereas the account to be transferred is currently suspended;

Whereas the account to be sold will be sold as is with $4000 inventory;

NOW, THEREFORE, in consideration of the premises, and of the mutual promises and undertakings herein contained, the parties, intending to be legally bound, do agree as follows:

  1. The said account shall be transferred to the transferee on the effective date stated above.
  2. The total purchase price for the said account is $2500.
  3. The account shall be transferred after payment of the above purchase price quoted.
  4. The payment shall be made by or before ________________ [date]
  5. The transferee understands that the account to be transferred is currently suspended. It is the responsibility of the transferee to work with the Amazon Performance Team to ensure that the account is up and running.
  6. Full possession of said account will be delivered in the same condition that it is now.
  7. If the transferee fails to fulfill his obligations herein, all deposits made hereunder by the transferee shall be retained by the transferor as liquidated damages.
  8. The transferor promises and agrees not to transfer the said account to any other person apart from the transferee herein stated without prior notice to the transferee.
  9. All of the terms, representations and warranties shall survive the closing. This Agreement shall bind and inure to the benefit of the transferor and transferee and their respective heirs, executors, administrators, successors and assigns.
  10. If this Agreement shall contain any term or provision which shall be invalid or against public policy or if the application of same is invalid or against public policy, then, the remainder of this Agreement shall not be affected thereby and shall remain in full force and effect.
  11. Termination

Either Party to this Agreement may terminate this Agreement upon a written notice of termination to the other Party. Unless otherwise mutually agreed to in writing, upon the termination of this Agreement, any arrangement then in effect will immediately terminate. 

  1. This contract represents the entire agreement between the two parties and supersedes any previous written or oral agreement. This agreement may be modified at any time, provided there is written consent of both parties to this contract.
  2. Jurisdiction 

This contract shall be governed, interpreted, and construed in accordance with the laws of the State of New Jersey
