PURCHASE AGREEMENT

This PURCHASE AGREEMENT (‘’this Agreement’’) is entered into between [NAME OF VENDOR] of address [ADDRESS] (“Vendor”) and [NAME OF PURCHASER] of address [ADDRESS] (“Purchaser”) on [DATE] (Effective date).

Whereas the Seller desires to sell and the Buyer desires to buy the e- commerce business account operated by Amazon;

Whereas the account to be sold will be sold as is with $4000 inventory;

NOW, THEREFORE, in consideration of the premises, and of the mutual promises and undertakings herein contained, the parties, intending to be legally bound, do agree as follows:

  1. The total purchase price for the purchase of the said account is $2500.
  2. The purchaser understands that the account to be sold is currently suspended. It is the responsibility of the purchaser to work with the Amazon Performance Team to ensure that the account is up and running.
  3. The Seller promises and agrees to convey good, clear, and marketable title to the account to be sold hereunder, the same to be free and clear of all liens and encumbrances. Full possession of said account will be delivered in the same condition that it is now.
  4. Consummation of the sale, with payment by the Buyer of the $2500 will take place on or before ______________, 20__.
  5. Until the delivery of the Bill of Sale, the Seller shall maintain insurance on said account in the amount that is presently insured.
  6.  If the Buyer fails to fulfill his obligations herein, all deposits made hereunder by the Buyer shall be retained by the Seller as liquidated damages.
  7. The Seller promises and agrees not to engage in the same type of sale in regards to the same account and shall not sell the account to any other buyer apart from the buyer herein stated.
  8. All of the terms, representations and warranties shall survive the closing. This Agreement shall bind and inure to the benefit of the Seller and Buyer and their respective heirs, executors, administrators, successors and assigns.
  9. If this Agreement shall contain any term or provision which shall be invalid or against public policy or if the application of same is invalid or against public policy, then, the remainder of this Agreement shall not be affected thereby and shall remain in full force and effect.
  10. Termination

Either Party to this Agreement may terminate this Agreement upon a written notice of termination to the other Party. Unless otherwise mutually agreed to in writing, upon the termination of this Agreement, any arrangement then in effect will immediately terminate. 

  1. This contract represents the entire agreement between the two parties and supersedes any previous written or oral agreement. This agreement may be modified at any time, provided there is written consent of both parties to this contract.
  2. Jurisdiction 

This contract shall be governed, interpreted, and construed in accordance with the laws of the State of New Jersey
