BRAND AMBASSADOR SERVICE AGREEMENT
This Agreement is made on this _______ day of ________ 2022 by and between
FOREVER YOUNG PEOPLE (hereinafter referred to as the “Company”) and
___________________ (hereinafter referred to as the “Brand Ambassador”). Together
referred to as “parties”.
WHEREAS the Company is in the business of providing youth mentoring programs; and
WHEREAS the Brand Ambassador is willing to provide the promotion and marketing
services.
The parties herein agree to be legally bound by the following terms; –
1. Term.
This agreement shall be effective from ____________ (hereinafter the “Effective date”)
until _________________ (hereinafter the “End Date”).
There shall exist an option for renewal of the terms herein at the discretion of the
Company.
2. Services.
Parties herein agree that the Brand Ambassador shall ____________ for promoting the
Company by Tagging the company in posts and stories and making reels/videos.
3. Compensation.
Parties agree that the Brand Ambassador shall receive _____________ every month in
exchange for the services provided herein.
4. Confidentiality.
Parties herein agree that any information obtained from the performance of the services
in this agreement that relate to the company shall be deemed confidential. The same
will not be shared with any third parties without the other party’s prior written consent.
5. Marketing.
Both parties agree that marketing should promote the company’s brand positively and
not negatively impact the business.
6. Termination.
Parties herein agree that the company has the right to terminate this agreement by
issuing a 30 days’ written notice to the Brand Ambassador for failure to promote the
brand on the agreed platform
7. Governing Law.
Parties agree that the terms and provisions herein shall be governed and construed in
accordance with the applicable laws of England.
8. Dispute Resolution.
The parties herein agree that if a dispute arises from the terms and conditions herein,
the dispute shall be referred to mediation. If mediation fails, the dispute shall be referred
to arbitration whose decision shall be final and binding.
Parties shall cater for their legal costs.
9. Severability.
Suppose any provision in this agreement is deemed invalid or unenforceable by a court
of competent jurisdiction. In that case, the same shall be severed from the agreement,
and the remaining provisions shall continue in existence and apply in full force and
effect as if the unenforceable provisions were not part of the agreement.
10. Assignment.
The duties and responsibilities herein shall not be assigned to any third parties without
the prior written consent of the other party.
11. Waiver.
The failure of either party to enforce a certain breach in this agreement shall not be
deemed as a waiver of the enforcement of any present or future breaches.
12. Entire Agreement.
This agreement and the terms herein contain the complete understanding between the
parties and supersede any prior written or oral agreements, promises, or undertakings.
