CONTRACT FOR PRODUCT SERVICES

BETWEEN

  1. Nazuk Oy (Address) …………………….hereinafter be referred to as “Nazuk ”

AND

  1. (Party B)___________(Address) ………………………….shall

hereinafter be referred to as “__”

NOW, THESE TERMS ARE AGREED UPON BY THE PARTIES:

  1. Nazuk hereby enters into a contract with _(PARTY B) for the supply of
    makeup items such as lipsticks, eyeshadow palettes, brushes among others with private
    labelling.
  2. (Party B) agrees to sell to Nazuk makeup items which will have independent private
    labelling of their own.
  3. Nazuk shall have intellectual property rights to this independent label which entails the
    name, logo, and designs of the products.
  4. Both parties shall agree on the price of supplying such products.
  5. Party B shall have the obligation to provide its own formula as is the norm as well as
    provide the packaging of the name.
  6. Both parties shall be liable for their own taxes as is the obligation stipulated under their
    respective laws of their respective countries.
  7. This Contract shall commence upon the date of full execution by all parties and expire
    when the terms of this contract have lapsed or when the parties shall agree.
  8. The terms and conditions of this contract shall be binding upon the parties herein and any
    dispute arising shall be referred to arbitration.
  9. This Contract contains the whole agreement and understanding between the parties herein
    and supersedes all previous contracts (if any) whether written or oral between the parties
    in respect of such matters.
  10. This Contract may be terminated at any time by either party should a material breach by
    the other party occur.
