SPEAKING AGREEMENT.
This Speaking Agreement (hereinafter referred to as the “Agreement”) is made and entered on
this _ day of 2020 (the “effective date”), between Ashley Winston, Good Girls Geeks
“The Motivationista”, Address __ (hereinafter referred to as the
“CEO/Owner/Speaker”), and _, Address __ (herein referred to as the
“Client/Host”).
WHEREAS, the Client shall be retained by the Speaker to giving speaking services at a
specified location, at specified time and on the terms of this Agreement.
NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties
hereto, the Parties covenant and agree as follows:
- TERM.
The initial term of this Agreement shall be for a period _ [Days/Weeks/Months],
commencing on the Effective Date herein. - SCOPE.
2.1. Client shall be retained by the Speaker to giving speaking services at a specified
location, at specified time and on the terms of this Agreement.
2.2. The Client shall allow the Speaker to advertise, promote and/or sell their products
of their choice before the event starts, during the event or after the event. All the monies
collected in the sales shall be property of the Speaker.
2.3. The Client shall provide the Speaker with a table and two chairs for the event. The
Client shall be responsible providing other tables and chairs for the event where need be. - PAYMENT.
The Client shall pay the Speaker a sum ___ dollars for the services provided
under this Agreement. This shall include a nonrefundable deposit which shall be 25% of the total
cost shall be paid upon the signing of this Agreement to secure the date of the event. The
remaining sum shall be paid a week (7 days) prior to the date of the event.
NOTE: The deposit is nonrefundable and the Client shall under no circumstances claim the
deposit covered under this Agreement. - TERMINATION/CANCELLATION.
The Client can, at any time, terminate/cancel from this Agreement by issuing the Speaker with a
written termination/cancellation notice 48 hours before the date of the event.
NOTE: The Client is obligated with informing the Speaker of any emergencies that are likely
affect the event through an email or by call. Assumption of knowledge of the emergency shall
not be considered as valid communication with the Speaker. - INDEPENDENT CONTRACTOR.
5.1. The Speaker shall be retained as an independent contractor. The Speaker shall be
fully responsible for payment of their own income taxes on all compensation earned
under this Agreement. The Client shall not withhold or pay any income tax, social
security tax, or any other payroll taxes on the Speaker’s behalf during the term of this
Agreement.
5.2. The Speaker and/or Speaker’s employees understands that they shall not be
entitled to any fringe benefits that the Client provides for their employees generally or to
any statutory employment benefits, including without limitation worker’s compensation
or unemployment insurance. - GENERAL PROVISION, GOVERNING LAW AND JURISDICTION.
6.1. This Agreement contains the entire Agreement between the Parties relating to the
subject matter hereof and supersedes any and all prior agreements or understandings,
written or oral, between the parties related to the subject matter hereof. No modification
of this Agreement shall be valid unless made in writing and signed by both parties hereto.
6.2. This Agreement shall be governed by and construed in accordance with the laws
of the _ [State/Country]. Exclusive jurisdiction and venue shall be in
__ [State/Country].
6.3. This Agreement shall be binding upon and inure to the benefit of the Speaker and
the Client and their respective successors and assigns, provided that the Speaker may not
assign any of their obligations under this Agreement without the Client’s prior written
consent.
6.4. Each party represents and warrants to the other that such party has acted in good
faith, and agrees to continue to so act, in the negotiation, execution, delivery,
performance, and any termination of this Agreement.

Date.
