SHANGHAI TATTOO APPRENTICESHIP AGREEMENT

This Tattoo apprenticeship agreement effective as of ________________________ (‘Effective Date’) is entered into by and between Shanghai Tattoo Folsom LLC of _______________________ (‘Company’) AND ___________________________ of ________________________________ (email address/contact details (‘Student’). Individually referred to as ‘Party’ and collectively referred to as ‘Parties’. The Parties agree to be legally bound as follows:

  1. Purpose of the Apprenticeship. The purpose of Apprenticeship will be to train the apprentice to become an artist. The Student will learn the basics of how to ink a tattoo, as well as be able to meet with other qualifications related to the profession.
  2. Class Schedule. The Class program for which __________ has signed up for is to commence on __________________. Classes will be a minimum of ______ hours per week and up to a maximum of ________ hours per week.
  3. Consideration. As good and valuable consideration for the apprenticeship services being provided, the Student will deposit $ 3000 with the Company at the beginning of the training. This amount will be non-refundable until the term of the Agreement is complete. After the 3 years is complete, the deposit will be refundable.  
  4. Term and Termination. The Term of this Apprenticeship Agreement will commence on the effective date and continue effectively for 3 years. This Apprenticeship agreement may be terminated if the student fails to comply with the policies and procedures of the Company, and if the student fails to pay the prescribed amount.
  5. Policies and Procedures. Each Student agrees to comply with Apprenticeship Policies and Procedures annexed with this Agreement. The Apprenticeship Program reserves the right to add, delete or modify its Policies and Procedures at any time. In the event a Student fails to comply with the Apprenticeship program in its’ sole discretion may dismiss the Student from the Apprenticeship program and the Student shall not be entitled to any refund.
  6. Indemnification. Student will indemnify and hold Shanghai Tattoo LLC harmless for any damages to self and property, claims, demands, rights and causes of any nature whatsoever that arise while undertaking the apprenticeship program at the Company.
  7. Intellectual Property Rights. Shanghai Tattoo owns the intellectual property rights in the teaching materials, publications, teaching methods and videos. Therefore, the Student will not reproduce or disseminate any logos or materials of Shanghai Tattoo or record and take photographs of any programs without the express consent of the Apprenticeship Program.
  8. Confidentiality. The Student recognizes and acknowledges that all confidential information of the apprenticeship program constitutes valuable, secret, special and unique asset of the apprenticeship program. The Student acknowledges that it is not practical, and shall not be necessary, neither to mark such information as ‘confidential’ nor transfer it within the Apprenticeship program by confidential envelope or communication, in order to preserve the confidential nature of the information. The Student shall not at any time or in any manner, during or after the term of the course, either directly or indirectly, use, divulge, disclose or communicate to any person, firm or corporation in any manner whatsoever any information concerning any matter affecting or relating to the business of the Apprenticeship program, including without limiting the generality of the foregoing, any of its customers or any other information concerning the business of the Apprenticeship program, its manner of operation, its plans, processes, or other data without regard to whether all of the foregoing matters will be deemed confidential, material, and confidential and gravely affect the effective and successful conduct of the business of the Apprenticeship program, and the Apprenticeship program’s goodwill, and that any breach of the terms of this paragraph shall be a material breach of this Agreement.
  9. Non-Solicitation. During the term of the agreement and a period of two years after the completion of the Apprenticeship program, the Student agrees to refrain from and not to, directly or indirectly as an independent contractor, employee, consultant, agent, partner, joint venture, or otherwise: solicit or counsel any person that the Students knows or reasonably should know is a student or was a student of the apprenticeship program within the preceding two year period, to terminate any business relationship with the apprenticeship program and/or commence a similar business relationship with any other individual or business entity; accept, with or without solicitation, any business from any person, that the Student knows or reasonably should know is a Student or was a Student of the apprenticeship program within the preceding two year period, regardless of such person’s or entity’s location; or solicit any of the employees, affiliates, or agents of the apprenticeship program regardless of such person’s or entity’s location, to terminate any business relationship with the Apprenticeship program.
  10. Non-Competition. During the term of this Agreement and 12 months after the completion of the apprenticeship program. The Student agrees that they will not directly or indirectly own, manage, operate, control, be employed by, act as agent for, participate in or be connected with in any manner the ownership, management, operation or control of any business of apprenticeship program of Body Tattooing.
  11. Dispute Resolution. Any dispute arising between the Parties will be solved in good faith through mediation.
  12. Governing Law. This Agreement shall be construed and governed by the laws of the State of California.
  13. Entirety. This Agreement constitutes the entire understanding and agreement between the Parties with respect to the transactions contemplated, and supersedes any and all prior or contemporaneous oral or written representation, understanding, agreement or communication between the Parties concerning the subject matter hereof. Neither Party is relying upon any warranties, representation, assurance, nor inducements not expressly set forth herein.

ANNEX A: APPRENTICESHIP PROGRAM POLICIES AND PROCEDURES

The apprentice agrees to

ANNEX A: APPRENTICESHIP PROGRAM POLICIES AND PROCEDURES

The apprentice agrees to

  1. Work as an apprentice and be trained in the trade or occupation by the Apprenticeship program;
  2. Not attend any other apprenticeship program of Tattooing or receive any other type of similar instruction, because it will have adverse effect on the Apprenticeship program’s ability to teach the student.
  3. Show caution and respect for the tools and equipment, goods and property of the Company  and avoid any damage or waste of them;
  4. Cooperate with the apprenticeship training officer in monitoring and recording apprentice’s progress, and in scheduling in-school training; and
  5. Attend the required in-school training classes for the trade or occupation.
