VENDOR AGREEMENT

VENDOR AGREEMENT

This Vendor Agreement is entered into by and between I AM Paula Miller, LLC,
(‘Company’) AND __________ (‘Vendor’). Individually referred to as
‘Party’ and collectively referred to as ‘Parties’. The Parties intend to be legally bound as
follows:

  1. Scope. I AM Paula Miller, LLC provides an opportunity for the Vendor to sell their
    items at the Company’s event. The Vendor will be required to arrive two hours
    prior to the event to set up and properly arrange their items.
  2. Term. The term of the agreement shall commence of the effective date and
    continue until the event ends.
  3. Consideration. In Consideration of the opportunity to be a Vendor, Vendor will
    pay to I AM Paula Miller, LLC a non-refundable fee of $ 75 prior to the event.
    Payments will be made via Zelle 832-746-7224, Venma@paula-miller-194, or
    CashApp $paulabmiller to secure their sport. All proceeds obtained by the
    Vendor from the items sold will be retained by the Vendor.
  4. Release from Liability. Vendor releases and will hold harmless I AM Paula
    Miller LLC from any damage, breakages or stolen materials or items. Vendor will
    exercise care in setting up and taking down their materials.
  5. Dispute Resolution. Any disputes arising between the parties regarding the
    subject matter of this Agreement shall be solved in good faith through mediation.
  6. Governing Law. This Agreement shall be governed and construed according to
    the laws of the State of __________.
  7. Entire Agreement. This Agreement constitutes the entire agreement of the
    Parties and supersedes all prior communications, understandings and agreement
    relating to the subject matter, whether oral or written.
