INTRODUCER AGREEMENT

THIS INTRODUCER AGREEMENT (the “Agreement”) is made BETWEEN:

 

Le Pont Co. Ltd of 105 Laforet Akatsuka, 4-35-15 Akatsuka, Itabashi ku, Tokyo 175-0092, Japan

(the “Broker”)

  • AND –

Insert Name of Seller and Address

(the “Seller”)

 

The parties agree as follows:

 

Terms

  1. Broker has a large number of contacts and can meet further contacts, who may be interested in purchasing Seller’s products.
  2. Seller wishes to be introduced to such contacts and is willing to pay Broker a commission on the terms of this Agreement, if such contacts purchase products from it and Broker is willing to effect these introductions in return for this commission.
  3. Broker agrees to introduce Seller to prospective clients.
  4. Seller shall not deal with the introduced party in any transaction other than the one mentioned in the Broker Agreement and shall not do business directly with them without prior written consent from the Broker.

 

Non-Circumvention & Non-Disclosure Agreement and Brokerage Commission Agreement

  1. This Agreement shall be read together with the Non-Circumvention & Non-Disclosure Agreement, Reference No. _____ and the Brokerage Commission Agreement, Reference No. _____.
  2. Each party acknowledges that in entering into this Agreement it does not rely on, and shall have no remedies in respect of, any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in this Agreement.
  3. Each party agrees that it shall have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in this Agreement.
  4. Nothing in this clause shall limit or exclude any liability for fraud.

 

IN WITNESS WHEREOF, each Party represents and warrants that it has authority to enter into this Agreement and agree to enter into this Agreement in its entirety and lawfully makes the disclosures contemplated hereunder.
