THIRD PARTY AUDIT AGREEMENT.

This Third Party Audit Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2021 (the “Effective Date”), between Green Rose Gardens, Contact Info: ___________________ (hereinafter referred to as the “Company”), and Olympic Reef LLC, Contact Info:  ___________, (herein referred to as the “Contractor”).

NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:

  1. TERM.

The initial term of this Agreement shall be for a period 2 Days- 3/13/2021 and 3/14/2021.

  • SCOPE.
    • The Contractor shall offer auditing services for;
  • Quality of flower-tight, larfy, dense, and/or terpy
  • Quality of trim-tight trim, loose trim, and/or no trim.
  • Processing-if the materials have been separated into A, B, C qualities.
  • The product market value in the current condition.
  • The Product wholesale market value in current condition.
    • The Contractor shall prepare the auditing reports in accordance with the requirements of any and all relevant State and Federal regulations, and deliver to the Company ___ copies of the reports within ___ Days upon completion of the auditing process.
    • The Contractor shall, on the Company’s request, give an oral presentation to the Company of the audit report.
  • CONSIDERATION.
    • The Company shall pay the Contractor One Thousand Five Hundred Dollars ($1,500) for the services covered under this Agreement, paid as follows ___________________________________________________________________________________________________________________________________________________.
    • In the event that circumstances require the Contractor to offer additional services, the Contractor shall promptly notify the Company and get a written consent before commencing such tasks. The Company shall compensate the Contractor $_____ for any extra task rendered under this Agreement.
  • WARRANTY.

Each party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in the negotiation, execution, delivery, performance, and any termination of this Agreement.

  • DISPUTE RESOLUTION.

In the event of disputes arising about the execution of this Agreement and/or performance of obligations stated herein, the Parties shall resolve such issues on site.

  • TERMINATION/CANCELLATION.

This Agreement shall be considered automatically terminated/cancelled if the Contractor fails to report to the site on the 3/13/2021.

  • MODIFICATION.

This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof.  No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.

  • GOVERNING LAW AND JURISDICTION
    • This Agreement shall be governed by and construed in accordance with the laws of ____________ [State/Country]. Exclusive jurisdiction and venue shall be in __________ [State/Country].
    • This Agreement shall be binding upon and inure to the benefit of the Company and the Contractor and their respective successors and assigns, provided that the Contractor may not assign any of their obligations under this Agreement without the Company’s prior written consent.
