TERMINATION LETTER
Subject to the Statement of Work agreement entered into on 18 December 2020 and executed by the parties on 4 January 2021, by and between TLQ LLC and PKL LIMITED. Whereby, both parties agreed that PKL Limited would be available to perform website design and development services satisfactorily by creating a useable Shopify theme, providing a project management setup, providing input for post-training tracking and evaluation. PKL limited agreed to deliver the work within the set timelines. Additionally, they were given leeway of extension of the period of performance by us. In consideration of the services provided by PKL Limited, TLQ agree to provide timely and sufficient compensation.
Since the execution of the agreement, TLQ has paid PKL Limited 2/3 of the agreed amount; this is despite the fact that PKL Limited is providing unsatisfactory work that does not comply with the deliverables agreed upon by both parties. The website designer has become increasingly disrespectful and exhibits a flagrant disregard for meeting TLQ website expectations. The behavior exhibited by the website designer amount to a gross breach of the statement of work and work ethic required of him.
Due to the gross breach of his statement of work obligations, TLQ will like to relieve him of his obligations and terminate the statement of work that was entered into by both parties. As a result of the breach, the website designer should submit all the unaltered completed work to TLQ without either party requiring any additional monies or works.
TLQ desires that even after the termination of the agreement, all materials developed by the website designer are the property of TLQ LLC.
