SUBLEASE AGREEMENT

This Sublease Agreement is entered into on _________________ by and between
VEONCE DASILVA (hereinafter referred to as the Sub lessor/Original Tenant) and
DIAMOND SANDERS (hereinafter referred to as the Sub Lessee/New Tenant).
Together referred to as "Parties."
1. Purpose.
Parties herein agree that the purpose of this Agreement is for the Sub Lessor/Original
Tenant to provide the services of securing a unit in an Apartment Complex that will
allow the Sub Lessee/New Tenant to carry out Airbnb and other platforms.
2. Property.
The property being referred to herein by the parties and the subject of this Agreement is
located at_______________________________.
3. Payments.
In consideration of the Sub Lessor performing the services mentioned above, the Sub
Lessee shall pay $1,200 to the Sub Lessor.
4. Rent.
Parties herein agree that the Sub Lessee shall be responsible for paying the required
rental charges, which are agreed at $_________ for the duration they are in the
possession and occupancy of the unit.
5. Non-Disturbance Clause.
The Sub Lessee shall be entitled to quiet possession of the Property free of any
disturbance, annoyance, or inconvenience by the Sub Lessor.
6. Responsibilities.
The Sub Lessee shall be responsible for their furnishings or equipment in the Property.
The Sub Lessor shall be responsible for any structural maintenance issues.
Parties agree that the Sub Lessor shall also be responsible for paying the renters
insurance.

7. Termination.

The Sub Lessee has the right to immediately terminate the terms herein and obtain a
full refund of the payments made under this Agreement if, after sixty days from the date
of moving into the Property, the Owner/Landlord does not allow the Sub Lessee to
conduct an Airbnb.
8. Force Majeure.
For this Agreement, “Force Majeure” means an event which a diligent party could not
have reasonably avoided in the circumstances, which is beyond the control of a party
and includes, but is not limited to, war, riots, civil disorder, earthquake, storm, flood or
adverse weather conditions, strikes, lockouts or other industrial action, terrorist acts,
confiscation or any other action by government agencies.
A Party’s failure to fulfill its obligations due to Force Majeure shall not be considered a
breach of this Contract, provided that the party has taken all reasonable precautions,
due care, reasonable alternative measures, and minimal delay to carry out the terms of
this Contract.
9. Dispute Resolution Mechanism.
Any dispute, controversy, or claim arising from or relating to this Contract or the
interpretation, breach, or validity thereof shall be resolved through negotiation between
the parties.
If resolution cannot be obtained, the dispute shall be taken to arbitration which shall be
organized in accordance with the rules of Nashville, Tennessee.
10. Governing Law.
This Agreement shall be governed by and construed in accordance with the laws of
Nashville, Tennessee.
11. No Waiver.
Failure by either party to enforce any of the terms or conditions of this Agreement shall
not be a waiver of their right to enforce the terms and conditions of this Contract.

12. Severability.
The provisions of this Agreement are severable. If any provision is invalid or
unenforceable, it shall not affect the validity or enforceability of any other provision.

13. Entire Agreement.
This Agreement constitutes the entire Contract between the parties and supersedes all
prior oral or written contracts or understandings between the parties concerning the
subject matter of this Contract. Save as may otherwise be provided in this Contract, the
terms and conditions set out in this Agreement are the only terms on which the Sub
Lessor is prepared to deal with the Sub Lessee.
