SPONSORSHIP AGREEMENT.

This Sponsorship Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2021 (the “Effective Date”), between __________________, Contact Info: ______________________ (hereinafter referred to as the “Company”), and ____________, Contact Info: _____________________ (herein referred to as the “Sponsor”).

NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:

  • TERM.

The initial term of this Agreement shall be for a period _______ [Weeks/Months/Years], commencing on the Effective Date herein.

  • SCOPE.
    1. The Sponsor shall offer the Company the following services;

  1. The Sponsor shall not be involved in the Company’s management or take any active operational and/or financial functions in the Company. The Sponsor shall not have access to the Company’s bank account.
  • INVESTMENT/PAYMENT.

The Sponsor has not made any financial investment in the Company, they shall only receive ______________ as an annual sponsorship fees. The Sponsor shall not receive any of the Company’s profits.

  • TERMINATION/CANCELLATION.
      1. Parties agree that either Party can cancel/terminate the Agreement at any given time, provided that the intending Party provides the other Party a 30 Day Written Notice on the cancel/termination. The Company shall, upon receiving/issuing the Notice to Terminate/Cancel this Agreement, pay the Sponsor all the sponsorship fees due under this Agreement.
      2. The Company may at any time and without notice terminate/cancel this Agreement in the event that the Sponsor attempts to or takes up active managerial, financial or operational functions of the Company. 
  • LIABILITY/INDEMNITY

The Sponsor shall not be held responsible for any legal issues arising that may involve the Company. The Company agrees to hold the Sponsor blameless and to indemnify and to defend the Sponsor against any legal issues involving the Company.

  • GENERAL PROVISION, GOVERNING LAW AND JURISDICTION. 
    1. This Agreement contains the entire Agreement between the Partners relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof.  No modification of this Agreement shall be valid unless made in writing and signed by both Partners hereto.
    2. This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates. Exclusive jurisdiction and venue shall be in United Arab Emirates.
    3. Each party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in the negotiation, execution, delivery, performance, and any termination of this Agreement.
