Speech/Language Pathologist Services Contract
THE PARTIES: This Agreement (“Agreement”) made on 5 th Day of November 2021, is between
CAMBRIDGE INTERNATION ACADEMY with a mailing address of ________City of
______ State of _______ (“EMPLOYER”) and DIANA QUICENO, Speech and Language
Pathologist, with a mailing address of ___________, City of _____, State of _______ (“THE
CONTRACTOR”) both of whom agree as follows:
IN CONSIDERATION OF the matters described above and of the mutual benefits and
obligations set forth in this Agreement, the receipt and sufficiency of which consideration is
hereby acknowledged, the Employer and the Contractor (individually the “Party” and
collectively “The Parties” to this agreement) agree as follow:
TERMS
1. FORMATION
Subject to the terms and conditions of this agreement, Diana Quiceno M.S, CCC-SLP
(the Contractor) engages with Cambridge International Academy as an independent
contractor to perform the services set forth herein, and both parties accept such
engagement.
2. DURATION
The term of this agreement (the “Term”) will begin on ____Day of______and will
remain on full force and effect until the end of the School Year., subject to earlier
termination as provided in this Agreement. The contract does not automatically renew.
3. DUTIES
Duties include: review of academic records; assessment; assessment scoring; student
observation; report writing; interviewing; parent, teacher, and/or service provider
consultation; and attendance at team meetings as requested.
4. RESPONIBILITIES OF THE INSTITUTION
To provide a suitable work area to administer SLP services

To maintain confidentiality of professional reports as required by state law or
professional standards
Equipment/supplies housed by Cambridge International Academy may be utilized by the
Contractor
To make payments to ______________by the fifteenth day of each month as invoiced
To provide necessary information regarding each student to be serviced by the
Contractor
To provide the Contractor with a roster of students to be serviced
5. RESPONSIBILITY OF THE CONTRACTOR
To provide Cambridge International Academy with itemized invoices before the 5th day
of each month
To provide student goals for IEP and Special Education Director; and to report student
progress
To provide proof of liability insurance.
To provide the school with a copy of the SLP’s licensure and continued education
certificates
To maintain confidentiality of student records as required by state law and professional
standards
6. AUTHORITY TO ENTER AGREEMENT
Each Party warrants that the individuals who signed this Agreement have the actual legal
power, right and authority to make this agreement and bind each respective Party.
7. COMPENSATION
Cambridge International Academy agrees to compensate Diana Quiceno M.S. CCC-SLP
at a rate of _______ USD per hour for all hours of service rendered. It is understood that
all necessary planning, evaluations, documentation, data entry, participation in IEP
meetings as well as consultation with teachers and parents are billed at the designated
hourly rate. It is understood that the current rate of ________USD is an introductory rate
and will be subject to change in upcoming contracts.

8. DISPUTE RESOLUTION
If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute
will be finally and exclusively resolved by binding arbitration.
9. NOTICES
This contract may be terminated by either party as long as written notice is given at least
thirty (30) days in advance.
10. TERMINATION
During the course of this agreement, any party may terminate this Agreements if there is
illegal activity, destruction of property or any other breach.
11. SEVERABILITY
If any term, covenant, condition, or provision of this Agreement is held by a court of
competent jurisdiction to be invalid, void, or unenforceable, the remainder of the
provisions shall remain in full force and effect and shall in no way be affected, impaired,
or invalidated.
12. FORCE MAJEURE
Neither party shall be liable for any failure to perform under this Agreement when such
failure is due to causes beyond that party’s reasonable control, including, but not limited
to, acts of State or governmental authorities, acts of terrorism, natural catastrophe, fire,
storm, flood, earthquakes, accident, and prolonged shortage of energy.
13. GOVERNING LAW
Both parties agree to request and render services under this agreement in a professional
manner and in compliance with all state and federal laws including the ethical principles
of respective professional affiliations.

The above contract contains the entire agreement between _______________and Cambridge
International Academy. Any amendments or changes must be executed in the same manner as
this contract.
