SI PROTECTION SERVICES AGREEMENT

This Agreement (the “Agreement”) is executed on this the day of [Date], by and between [Client Name], whose address is at [Client Address], hereinafter referred to as “Client,” and Specialized Intelligence (SI), a company registered under the laws of [Country], whose contacts are 001-470-9979990 and email si@specializedintel.com, hereinafter referred to as “Protection Operative.”

RECITALS

WHEREAS, the Client is in need of professional security services for the #1 priority Founder & CEO of [Company Name] and their entourage during a European Tour;

WHEREAS, Specialized Intelligence (SI) is a specialized security provider with expertise in close protection and risk management;

WHEREAS, the Client desires to engage the services of SI Protection Operative to ensure the safety and security of the Founder & CEO and their entourage during the European Tour;

WHEREAS, SI Protection Operative possesses the necessary skills, experience, and qualifications to provide the required security services;

WHEREAS, both parties wish to enter into a mutually beneficial agreement setting forth the terms and conditions of their engagement;

NOW, THEREFORE, FOR AND IN CONSIDERATION of the mutual promises and agreements contained herein, the parties agree as follows:

  1. SECTION 1 – WORK TO BE PERFORMED
    • Term
      • Client agrees to hire SI Protection Operative to perform the services and work as stated in section 1.2 of this agreement.
      • The commencement date of the protective service shall be [Commencement Date], and the duration of the agreement shall be [Number of Days].
    • Duties
      • SI Protection Operative agrees to perform work for the Client on the following terms and conditions:
        • Remain professional at all times and adhere to a high standard of conduct and ethics.
        • Prepare and implement comprehensive security measures for the #1 priority Founder & CEO of [Company Name] and oversee the security of their entourage of 5 people on a European Tour maneuvering through Oslo, Brussels, Copenhagen, Lisbon, and Paris. This includes but is not limited to securing hotels and venues where panel discussions will be held, conducting risk assessments, coordinating with local law enforcement agencies, and providing close protection services.
        • Regularly communicate and coordinate with [Contact Person] from [Company/Organization] concerning any imminent threats, changes in travel itineraries, or other relevant information.
      • Completion
        • The services contract will be deemed completed on the day of [Completion Date], unless extended by the Client at their discretion.
        • If extended by the Client, SI Protection Operative shall be paid the sum of $[Per Diem Amount] per diem for each additional day of service.
  1. SECTION 2 – COMPENSATION
    • Compensation
      • In consideration of all services to be rendered by SI Protection Operative to the Client, the Client shall pay SI Protection Operative the sum of [Total Amount] for the total duration of the tour.
      • In addition to the above-stated amount, the Client shall reimburse SI Protection Operative for all inclusive travel expenses, including but not limited to round-trip airfare (Coach or Business Class), transfers to and from the airports, airport parking charges, meals, daily transportation, gratuities, and hotel accommodations for each day of the trip.
      • The Client shall pay SI Protection Operative the full amount upon signing this agreement.
    • Withholding
      • SI Protection Operative is an independent contractor and shall be solely responsible for their own income taxes, worker’s compensation, and other employment-related taxes or contributions.
  1. SECTION 3 – INDEPENDENT CONTRACTOR STATUS
    • Independent Contractor Relationship
      • SI Protection Operative acknowledges and agrees that they are an independent contractor and not an agent, partner, joint venture, or employee of the Client. SI Protection Operative shall have no authority to bind or otherwise obligate the Client in any manner, nor shall SI Protection Operative represent to anyone that they have the right to do so.
  1. SECTION 4 – REPRESENTATIONS AND WARRANTIES
    • Representation of Freedom to Enter Agreement
      • SI Protection Operative represents and warrants that they have the legal capacity and authority to enter into this Agreement and that their engagement with the Client does not violate any contractual obligations or agreements with any third party.
    • Performance of Duties
      • During the term of the agreement, SI Protection Operative shall devote as much productive time, energy, and abilities as needed and necessary to perform the required duties in a professional, timely, and productive manner.
      • It is expected that SI Protection Operative will retire to their personal hotel room each evening in order to obtain at least 7 hours of sleep per night while on said trip.
      • SI Protection Operative is expressly free to perform services for other parties while not performing services for the Client.
  1. SECTION 5 – CONFIDENTIALITY AND NON-DISCLOSURE
    • Confidentiality Obligations
      • SI Protection Operative acknowledges and agrees that during the performance of their duties, they may have access to confidential and proprietary information of the Client, including but not limited to trade secrets, client lists, business strategies, and other sensitive information.
      • SI Protection Operative shall maintain strict confidentiality and shall not disclose or use any confidential information for their own benefit or for the benefit of any third party, except as required by law or with the prior written consent of the Client.
    • Non-Disclosure Agreement
      • SI Protection Operative shall be required to sign a separate Non-Disclosure Agreement (NDA) provided by the Client, which shall govern the protection and use of confidential information in further detail.
  1. SECTION 6 – INDEMNIFICATION
    • Indemnity
      • SI Protection Operative agrees to indemnify and hold harmless the Client, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney’s fees) arising out of or in connection with any breach of this Agreement by SI Protection Operative or any negligent or intentional act or omission by SI Protection Operative during the course of providing services under this Agreement.
  1. SECTION 7 – MISCELLANEOUS PROVISIONS
    • Binding Effect
      • The provisions of this Agreement shall be binding upon and inure to the benefit of the parties and their respective heirs, personal representatives, successors, and assigns.
    • Entire Agreement
      • This Agreement constitutes the entire agreement between the parties pertaining to its subject matter and supersedes all prior oral or written agreements, understandings, or representations.
      • No supplement, modification, or amendment of this Agreement shall be binding unless executed in writing by all parties.
    • Severability
      • If any provision of this Agreement is held to be invalid, illegal, or unenforceable under any applicable law, such provision shall be deemed modified to the extent necessary to comply with the law, and the remaining provisions shall continue in full force and effect.
    • Governing Law and Jurisdiction
      • This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of laws principles.
      • Any legal action or proceeding arising out of or in connection with this Agreement shall be brought in the courts of the State of [State] and the parties hereby submit to the exclusive jurisdiction of such courts.
