SERVICE CONTRACT
This Service Contract is entered into on __________ (hereinafter “Effective date”) by
and between ______________ (hereinafter referred to as the “Company”) and
____________ (hereinafter referred to as the “Service Provider”). Together referred
to “parties”.
WHEREAS the parties agree to be legally bound by the following terms; –
1. Term.
This Contract shall be for a period of __________ from the Effective date mentioned
above.
2. Services.
The parties herein agree that the Service Provider shall do e-counting to update
tracking information, respond to client inquires, carry out the bookkeeping for
Amazon store, and update inventory amount in square and Amazon.
In providing the services mentioned above, the Service Provider shall follow all
Amazon policies in place.
3. Price and Payment.
Parties agree that the Company shall pay the Service Provider $350 per month for
the services provided under this Contract.
4. Records.
The Service Provider shall keep up-to-date records of the accounts/books and
readily available for inspection by the Company upon reasonable request.
5. Termination.
Either party to this Contract may terminate the terms herein by issuing a 30 days’
prior written notice to the other part. The reasons for termination may include but are
not limited to; –
i. Mutually agreed between the parties.
ii. Negligence
6. Governing Law.
The parties herein agree that the provisions of this Contract shall be governed in
accordance with and governed by the laws of the state of New York.
7. Confidentiality.
The parties agree and acknowledge that during the performance of the duties and
responsibilities under this Contract, they both will come into contact or have
knowledge of the information of the other party that they deem confidential
information. The parties agree they will not disclose the confidential information to
any third parties without the other party’s prior written consent.
8. Dispute Resolution.
If there is a dispute between the parties, the same shall be negotiated between
them, and if it fails, the dispute shall be referred to mediation.
Each party shall bear its costs.
9. Entire Contract.
This Contract constitutes the complete Contract between the parties and supersedes
any prior written or oral contracts or understandings.
10. Severability.
If any provision of this Contract is deemed invalid or unenforceable by a court of law,
the same shall be severed from the Contract, and the remaining provision shall
continue in full force and effect.
11. Amendment.
In the event of any amendment or modification, the same shall be agreed upon
between the parties, put into writing, and signed by the parties.
12. Waiver.
The failure of any party to exercise any right or provision of this Contract shall not be
considered a waiver of any prior or subsequent rights.
