SERVICE AGREEMENT

This SERVICE AGREEMENT (‘’this Agreement’’) is entered into between Sequoia Craig Design of address [ADDRESS] (“Service Provider/ Company”) and [NAME] of address [ADDRESS] (“Client”) on [DATE].

NOW, THEREFORE, in consideration of the premises, and of the mutual promises and undertakings herein contained, the parties, intending to be legally bound, do agree as follows:

  • SERVICES
  • The company agrees to fulfill the following obligations (“the obligations”):

The company agrees to provide the following each month;

  1.  One newsletter including copywriting
  2. One hour of website edits
  3. Three social media graphics entailing two posts formatted for Instagram and one story formatted for Instagram.
  1. After payment of services, the client shall receive a form to fill out information for that month’s content which is relevant to the client’s business. This form should be filled as soon as possible since delay in this information will in turn delay the email.
  2. All information will be delivered in the client’s email. The information shall include copywriting of the month’s email and the social media graphics.
  3. The one hour of website edits can be scheduled at the client’s convenience.
  4. In terms of sending out the email, the client is responsible for the email marketing software (i.e. Mail chimp, convert kit, active campaign, etc.) and any fees in regards to it. The Company can send out the emails to their audiences for an additional fee.
  5. Sequoia Craig Design shall retain all of the rights to the information thereof.
  6. Of importance to note is that multiple clients may have similar content. This implies that the content would not necessarily be new for every client who seeks our services.
  • TERM
  • This Agreement shall be operative from the date of execution of this Agreement and shall run until the completion of the Services or until the Agreement is terminated according to this Agreement.
  • This contract is a monthly service contract which is subscription based.
  • PAYMENT TERMS

The service provider will be entitled to a sum of $ 249 monthly as consideration for the services provided.

  • CONFIDENTIALITY
    Neither Party will use, copy, adapt, alter or part with possession of any information of the other which is disclosed or otherwise comes into its possession under or in relation to this Agreement and which is of a confidential nature. This obligation will not apply to information which the recipient can prove was in its possession at the date it was received or obtained or which the recipient obtains from some other person with good legal title to it or which is in or comes into the public domain otherwise than through the default or negligence of the recipient or which is independently developed by or for the recipient.


  • RELATIONSHIP

 

The Parties acknowledge and agree that the Services performed by the Service Provider, its employees, agents or sub-contractors shall be as an independent contractor and that nothing in this Agreement shall be deemed to constitute a partnership, joint venture, agency relationship or otherwise between the parties.

  •  TERMINATION

Either Party to this Agreement may terminate this Agreement upon a written notice of termination to the other Party. Unless otherwise mutually agreed to in writing, upon the termination of this Agreement, any arrangement for Services then in effect will immediately terminate. 

  • ENTIRETY

This contract represents the entire agreement between the two parties and supersedes any previous written or oral agreement. This agreement may be modified at any time, provided there is written consent of both parties to this contract.

  • SEVERABILITY 

The parties agree that if any portion of this contract is found to be void or unenforceable, it shall be struck from the record and the remaining provisions will retain their full force and effect.

  • JURISDICTION

This contract shall be governed, interpreted, and construed in accordance with the laws of [STATE, PROVINCE OR TERRITORY].
