SERVICE AGREEMENT.

This Service Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2021 (the “Effective Date”), between Seasoned and Growing, LLC.  Contact Info: ________, (hereinafter referred to as the “Company”), and _____________, Contact Infor: ____________ (herein referred to as the “Client”).

WHEREAS, the Client acknowledges that the production of career materials does not constitute a guarantee for an interview, job offer, or partnerships, as this is a subjective process on behalf of the employer and/or 3rd party.

NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:

  • TERM.

The initial term of this Agreement shall be for a period 45 Days commencing on the Effective Date herein.

  • SCOPE.
    1. The Company offers the following services within the specified timelines;

For resume/cover letter/LinkedIn combo – the first draft of resume shall be ready within 7-10 business days. Once resume is finalized and complete, the draft of the LinkedIn profile will follow (3-5 business days). Unless other arrangements are made, Client agrees to finalize résumé and LinkedIn profile (or accept work as written) within 30 days from date on invoice. Client also agrees that they are solely responsible for meeting this deadline and that the Company is not liable for any changes requested by Client after the expiration of the 30-day window. Any changes requested after 30 days will result in additional fees incurred by client, up to 25% of original cost.  If the Client fails to respond to initial questionnaire, emails, and project process, after 30 days client agrees to forfeit payment. If the Client returns after 30 days, the Client will be considered new and will be required to pay up to 75% of original project cost.  

For resume only – First draft of resume shall be ready within between 7-10 business days. The Client will then be provided with proofreading directions and expected to return feedback and/or edits within 10 business days. After 10 business days, the project will be considered finalized. Edits after the 10-business day window will result in additional charges of at least 20% of the original project cost.  

For cover letter only – First draft of cover letter shall be ready between 3-5 business days. The Client will then be provided with proofreading directions and expected to return feedback and/or edits within 10 business days. After 10 business days, the project will be considered finalized. Edits after the 10-business day window will result in additional charges of at least 20% of the original project cost.  

For LinkedIn profile only – First draft of the LinkedIn profile shall be ready between 7-10 business days. The Client will then be provided with proofreading directions and expected to return feedback and/or edits within 10 business days. After 10 business days, the project will be considered finalized. Edits after the 10-business day window will result in additional charges of at least 20% of the original project cost.  

Other services (i.e. bio, application, thank-you letter, statement of qualifications) 

First draft your career marketing document shall be ready between 7-10 business days. The Client will then be provided with proofreading directions and expected to return feedback and/or edits within 10 business days. After 10 business days, the project will be considered finalized. Edits after the 10-business day window will result in additional charges of at least 20% of the original project cost.  

  1. The Client understands that career marketing documents and/or services will be prepared based on information provided during the consultation and once the resume questionnaire is returned. If additional or new information is introduced, additional fees for consultation, writing or revisions may be applicable.  
  2. The Company shall provide the Client files in Microsoft Word and PDF formats and does not guarantee documents will retain all of their original, intended formatting and features on Client equipment. 
  3. The Client will complete career history questionnaire within 5 business days of purchasing career marketing packages.
  4. The Client is responsible for notifying the Company if the draft documents are not received by the expected delivery date. Once Client has received the first version, he/she has 10 business days to respond. After 10 business days with no response in any stage of the process, the project will be considered abandoned and complete.  
  • PROOFREADING/REVISIONS.
      1. The Client shall be responsible for proofreading all material to ensure accuracy and completeness. All requested revisions must be sent via email directly to the Company, before final approval by Client. Once final documents are reviewed and approved by the Client, the Company shall not be   responsible for making alterations.
      2. Up to two sets of revisions (based on original material provided) are included in the quoted fee. The Client shall pay an additional $349 for any additional revisions requested by the Client. Any significant departure from the original draft provided will incur additional fees as this constitutes a completely different document and viewed as a different résumé.
  • PAYMENT/REFUNDS.
      1. The Client shall pay _______ Dollars for the services covered under this Agreement. Client must clear all payment before the project commences, any fees for the services covered herein are neither cancellable nor refundable. Seasoned and Growing accepts payment via PayPal, Stripe, Credit or Debit Card. Receipt of purchase will be delivered to client electronically via email. 
      2. Payments made for the services covered under this Agreement including but not limited to service fees, fees for consultation, information gathering and preparation of career documents, are neither cancellable nor refundable.
  • TERMINATION/CANCELLATION.
      1. The Parties acknowledge that either Party can terminate/cancel this Agreement at any time provided that they issue a ___ Hour Written Notice on the same. The Client understands that if they terminate/cancel this services, they shall forfeit the payments made to the Company. 
      2. The Company shall terminate/cancel this Agreement without notice should the Client violate any of the terms.
  • COPYRIGHT.

The Client shall own all and any copyrights to the materials used during the term of this Agreement and shall enjoy continued rights over the final documents to use, reuse, copy/paste, alter and use any other way they see fit. The Company shall not, during the term of this Agreement or the termination thereof, lay claim over the Client’s documents.

  • LIABILITY/INDEMNITY.

The Company shall not be held responsible for any delays caused to acts of God, pandemic, health related issues, mechanical failure, technical, hardware, and/or software failures, or other circumstances beyond the control of the Company, as long as such delays are not as a result of the Company’s negligence. The Client shall indemnify the Company against any and all delay claims while they are performing their obligations under this Agreement.

  • GENERAL PROVISION, GOVERNING LAW AND JURISDICTION.
    1. This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof.  No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.
    2. This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan, USA. Exclusive jurisdiction and venue shall be in Michigan, USA.
    3. This Agreement shall be binding upon and inure to the benefit of the Company and the Client and their respective successors and assigns, provided that the Client may not assign any of their obligations under this Agreement without the Company’s prior written consent.  
    4. Each party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in the negotiation, execution, delivery, performance, and any termination of this Agreement.
