PROPERTY INVESTMENT AGREEMENT.

This Property Investment Agreement, for real estate (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2021 (the “Effective Date”), between Millennial Real Estate Investments LLC, Contact Info:  __________ (hereinafter referred to as the “Company”), and _________________, Contact Info: ____________ (herein referred to as the “Investor”).

NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:

  • TERM.

The initial term of this Agreement shall be for a period of Five Years, commencing on the Effective Date herein.

  • INVESTMENT.
      1. The Investor shall invest ___________ Dollars for the property purchase, which shall later be sold with the aim of purchasing another.
      2. The Company shall pay the Investor ___ % of the profits made from the sale of the property covered under this Agreement.
      3. The Investor cannot, at any time, without the prior written notice of the Company pass their obligations under this Agreement to a third party to act as an investor and receive proceeds of the investment.
      4. In the unfortunate event that the Investor is declared ill, mentally incapable of making sound decisions on their investment or in case of death the Investor, their next of kin shall automatically replace them and be entitled to the benefits of the development.
  • BUYOUT OPTION. 

This Agreement shall have a buyout option if the Parties agree to it, that the Company or the Investor shall have a right to buyout the Investor after a period of Five Years.

  • DISPUTE RESOLUTION.

In the event of disputes arising about the execution of this Agreement and/or performance of obligations stated herein, the Partners shall solve such issues through voting and/or by a mediation process.

The waiver by either party of any breach or failure to enforce any of the terms of this Agreement at any time shall not in any way affect, limit, or waive such Party’s right thereafter to enforce and compel strict compliance with every term and condition of this Agreement.

  • TERMINATION.

Parties agree that this Agreement shall be terminated when all the assets covered herein are sold and the profits split between the Parties as discussed.

  • MODIFICATION. 

This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof.  No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.

  • GOVERNING LAW/JURISDICTION.

This Agreement shall be governed by and construed in accordance with the laws of _______ [State/Country].  Exclusive jurisdiction and venue shall be in _____ [State/Country]. Each party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in the negotiation, execution, delivery, performance, and any termination of this Agreement.
