PROMOTION AGREEMENT
This Agreement is made on this _______ day of ________ 2022 by and BETWEEN
DENSUDA LLC (hereinafter referred to as the “Company”) and ___________________
(hereinafter referred to as the “influencer”). Together referred to as “parties”.
WHEREAS the Company is in the business of making clothes and desirous of
promoting its clothing brand; and
WHEREAS the influencer is willing to provide the promotion services.
The parties herein agree to be legally bound by the following terms; –
1. Term.
This agreement shall be effective from ____________ (hereinafter the “Effective date”)
until December 31 st 2022.
2. Services.
Parties herein agree that the influencer shall receive fee clothes every month for
promoting the brand by Tagging products in posts and stories and making reels/videos.
The Influencer agrees to post 2-3 posts per month for the company.
Parties agree that the influencer shall receive their discount code to share with their
followers.
3. Compensation.
Parties agree that the influencer shall receive free clothes/merchandise every month in
exchange for the services provided herein.
4. Confidentiality.
Parties herein agree that any information obtained from the performance of the services
in this agreement that relate to the business shall be deemed confidential, and the same
will not be shared with any third parties without the other party’s prior written consent.
5. Marketing.
Both parties agree that the clothes will be used to positively promote the company’s
brand and not negatively impact the business.
6. Termination.
Parties herein agree that the company has the right to terminate this agreement by
issuing a 30 days’ written notice to the influencer for failure to promote the brand on the
influencer’s social media platform.
7. Governing Law.
Parties agree that the terms and provisions herein shall be governed and construed in
accordance with the laws of the State of California.
8. Dispute Resolution.
The parties herein agree that in the event of a dispute arising from the terms and
conditions herein, the dispute shall be referred to mediation.
9. Severability.
If any provision in this agreement is deemed invalid or unenforceable by a court of
competent jurisdiction, the same shall be severed from the agreement, and the
remaining provisions shall continue in existence and apply in full force and effect as if
the unenforceable provisions were not part of the agreement.
10. Assignment.
The duties and responsibilities herein shall not be assigned to any third parties without
the prior written consent of the other party.
11. Waiver.
The failure of either party to enforce a certain breach in this agreement shall not be
deemed as a waiver of the enforcement of any present or future breaches.
12. Entire Agreement.
This agreement and the terms herein contain the complete understanding between the
parties and supersedes any prior written or oral agreements, promises or undertakings.
