PROJECT MANAGEMENT AGREEMENT.

This Project Management Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2021 (the “Effective Date”), between _________________, Contact Info: _____________________ (hereinafter referred to as the “Company”), and __________, Contact Info:  ___________, (herein referred to as the “Project Manager”).

NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:

  • TERM.

The initial term of this Agreement shall be for a period ______ [Days/Weeks/Months/Years] commencing on the Effective Date herein.

  • SCOPE.
      1. The Company is contracting the Project Manager to offer management services of the __________ project, located at _______________.
      2. The Project Manager shall provide the Company with the planning, budgeting, schedule, coordinating and supervising necessary for the timely execution of the project, and state the number/names of workmen, suppliers of material, contractors, subcontractors and other supplying materials for the project.
      3. The Parties have discussed and agreed upon the Project design and specifications, and the estimated cost of the project. (Find attached details)
      4. The Project Manager shall take any and all reasonable steps to ensure that the project is completed on schedule and workmanlike manner in accordance with the design specification and cost estimates, subject to any changes.
  • PAYMENT.

The Company shall pay the Project Manager ____, for the services offered under this Agreement, to be paid monthly.

  • INDEPENDENT CONTRACTOR.

The Project Manager shall be retained as an independent contractor.  The Project Manager shall be fully responsible for payment of their own income taxes on all compensation earned under this Agreement.  The Company shall not withhold or pay any income tax, social security tax, or any other payroll taxes on the Project Manager’s behalf during the term of this Agreement.

  • LIABILITY/INDEMNITY/WAIVER.
      1. The Project Manager understands the risks involved with the project and hence they and their employees, contractors, suppliers, and or subcontractors shall take sufficient measure to protect themselves while working on site. The Company shall not, during the term of this Agreement, be held liable for any injuries sustained by the Project Manager and/or their employees, contractors, suppliers, and or subcontractors while carrying out their obligations under this Agreement, as long as the injuries are not in any way due to the Company’s negligence. The Project Manager agrees to indemnify the Company against any claims that may arise from the performance of this Agreement.
      2. The Company shall indemnify the Project Manager from all debts, claims, and liabilities incurred by the Project Manager in the performance of the functions under this Agreement, provided that such functions are carried out by the Project Manager within the terms of this Agreement.
      3. The waiver by either party of any breach or failure to enforce any of the terms and conditions of this Agreement at any time shall not in any way affect, limit, or waive such party’s right thereafter to enforce and compel strict compliance with every term and condition of this Agreement.
  • FORCE MAJEURE:

The failure on the part of the Project Manager to perform their obligation under this Agreement will not be considered as default if such failure is the result of natural calamities, acts or God, Covid-19, extreme adverse disasters and circumstances beyond the control of the parties. The Project Manager shall inform the Company of such inconveniences promptly and arrange for a reschedule of the sessions.

  • Modifications.
      1. This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof.  No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.
  • GOVERNING LAW AND JURISDICTION
    1. This Agreement shall be governed by and construed in accordance with the laws of ___________ [State/USA]. Exclusive jurisdiction and venue shall be in __________ [State/Country].
    2. This Agreement shall be binding upon and inure to the benefit of the Company and the Project Manager and their respective successors and assigns, provided that the Project Manager may not assign any of their obligations under this Agreement without the Company’s prior written consent.
