SERVICE AGREEMENT
THIS SERVICE AGREEMENT, effective as of [DATE], is made and entered into by and between Nelson JJ Flores of address 7521 Canby Ave. Apt 7, Reseda, CA 91335 (“the Photographer”), and [NAME] of address [ADDRESS] (“the Hirer”).
WHEREAS the Photographer offers photography services, and
WHEREAS the Photographer offers to provide such services to the Hirer, and the Hirer accepts such services under the provision of this Agreement.
Now, Therefore, in consideration of the foregoing premises and of the mutual promises and covenants herein contained, the parties, intending to be legally bound, do hereby agree as follows:
- PHOTOGRAPHER’S SERVICES
The Photographer agrees to perform the following services under this Agreement
- Providing shots of Hirer’s products while filming.
- Editing the filmed vides/shots.
- PAYMENTS
- The Hirer agrees to make payments under this Agreement at the end of the engagement day.
- Payments are to be made via CASH, CHECK, OR DIRECT DEPOSIT. All forms of payments under this Agreement shall be made to Nelson Flores, 7521 Canby Ave. Apt 7, Reseda, CA 91335.
- CHARGES AND RATES
- Terms of Payment are CASH, CHECK, OR DIRECT DEPOSIT at the end of the engagement day.
- Any and all invoices not timely paid bear late charges at the rate of 3% per month (36% annually).

- INDEMNITY
- Except with respect to any claim arising directly out of the wilful misconduct or gross negligence of the Hirer, the Hirer SHALL NOT be liable for any special, indirect, consequential, or punitive damages in respect of any claim for breach of contract, irrespective of the cause of the Claim, or any other theory of liability arising out of or related to this Agreement, or any act, omission or event occurring in connection therewith. Accordingly, the Photographer HEREBY waives, releases, and agrees not to sue upon any claim for any such damages, whether or not accrued and whether or not known or suspected to exist in its favor.
- Section 4.1 above is premised on the understanding that the Photographer’s staff shall be handling and/or operating any and all Equipment.
- APPLICABLE LAW
This Agreement will be deemed to be executed and delivered in Los Angeles, California, and Governed by the law of the State of California.
- FACSIMILE/SCANNED SIGNATURE
This Agreement may be executed in counterparts, and by facsimile signature or signature that is scanned and transmitted by email, such forms of signature will be deemed to be original and fully binding.
- VIOLATION
Both the Photographer and the Hirer agree that should either party, prior or during the term hereof or therefore fail, refuse or neglect to adhere to the Terms and Conditions listed in this Agreement, the offended party will be obligated/ have the right to cancel the contract at any time. During which time, all parties’ obligations under this Agreement will stop forthwith.
- ENTIRE AGREEMENT
- Both parties agree that they have read and fully understand and accept all provisions of this Agreement prior to executing this Agreement.
- The signed Agreement, together with the Photographer’s Terms and Conditions, constitute the entire Agreement between Photographer and Hirer.
- In the event of a conflict between any terms or provisions of the Agreement and the Photographer’s Terms and Conditions, the terms and provisions of this Agreement shall govern control.
- Any changes must be made in writing and signed by both parties.
- If either party is a corporation or other entity, the person executing this Agreement represents and warrants that he/she has full power and authority to execute the Agreement on behalf of the entity and bind such entity to the agreements, terms, and conditions hereof.
- Both parties acknowledge that a photocopy or electronic version of this document shall constitute the same constant as an original.
