BY LAWS OF [INSERT NAME]
ARTICLE 1: NAME AND LOCATION
- Name: The name of the Non-Profit Organization shall be [Insert name] herein referred to as the ‘Organization’.
- Headquarters: The principal office of the Organization shall be at located at [Insert address].
ARTICLE 2: PURPOSE OF THE ORGANIZATION

ARTICLE 3: MEMBERSHIP

ARTICLE 4: GOVERNING BODY
- The Organization shall consist of a board of directors that shall be responsible for the day-to-day running of the organization.
- The board of directors shall comprise of the following number of persons who shall be elected by the members through voting.
- Term of office: The term of office of the governing body shall be [insert years] from the day of election.
- Elections: Elections shall be held in a period of [insert years]. The members shall vote through secret ballot.

- Secretary
- Treasurer
- Two (2) Volunteers
- Officers shall serve for a term of [insert number] years, or until their successors are elected.
- Duties: The duties of the officers shall be as follows:
- The Chairperson shall preside at all meetings of the Board of Directors and shall have general supervision over the affairs of the Organization.
- The Vice Chairperson and the Assistant Vice Chairperson shall perform the duties of the President in the absence or incapacity of the President.
- The Secretary shall keep minutes of all meetings of the Board of Directors, maintain the records of the Organization, and perform such other duties as may be assigned by the President or the Board of Directors.
- The Treasurer shall have custody of all funds and securities of the Organization, maintain accurate records of all receipts and disbursements, and perform such other duties as may be assigned by the President or the Board of Directors.
ARTICLE 5: AMENDMENT
Any amendment to the memorandum, and rules and regulations or name or location of the society shall be carried out in accordance with the rules and regulations of the Organization.
ARTICLE 6: SOURCE OF INCOME
The Organization shall obtain its funds from the following sources;
- Membership fees;
- Donations;

ARTICLE 7: FINANCIAL YEAR
The financial year shall be from 1st January to 31st December.
ARTICLE 8: ACCOUNTS
