MODELING AGREEMENT.

This Modeling Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2021 (the “Effective Date”), between ______, Address_______ (hereinafter referred to as the “Company”), and _____, Address ____________ (herein referred to as the “Model”).

NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:

  • TERM.

The term of this Agreement shall be a one project only term.

  • SCOPE.
      1. The Company shall ask the Model through online platforms such as Instagram for digital photos of themselves that shall be digitized, edited and auctioned by the Company.
      2. The Model shall ensure that the digital photos the photo format required by the Company; PNG, GIF, WEBP, MP4 or MP3. Max 30mb. The Model shall be responsible for hiring and paying for quality photo-shoots for the creation of the digital photos.
      3. The Company shall pay for all professional edits made to the photos as well as being responsible for sell/auction of the photos.
  • PAYMENT/COMMISSION.

Models shall be paid in Crypto-currency at a 50/50 split with the Company upon auctions (This shall be determined by the amount raised from the auction). Models shall be responsible for getting a Crypto-currency wallet for payment distribution.

  • TERMINATION/CANCELLATION.
      1. The Parties acknowledge that either Party can terminate/cancel this Agreement at any time provided that they issue Written Notice on the same. The Company shall ensure to pay the Model any unpaid auction proceeds before the termination/cancellation is made effective.
      2. The Company can at any time terminate/cancel this Agreement if there is a breach in the terms herein, failure of a condition precedent, conflict with existing laws/orders, and/or on grounds of bankruptcy.
  • COPYRIGHTS.
      1. Upon transfer of digital photos from the Model to the Company, the Company shall own exclusive copyrights over the photos to use, re-use for commercial and advertising purposes as started herein. The Company shall enjoy exclusive rights over the photos even after termination/cancellation of this Agreement (exclusive copyrights for life). The Model shall relinquish all their rights of the photos covered in this Agreement.
      2. The Model shall not, during the term of this Agreement and upon termination/cancellation thereof, be held responsible for any copyright infringement issues arising from the Company’s use of the photos. The Company agrees to indemnify the Model from such legal issues. 
      3. The Model shall not use the digital photos covered in this Agreement for their own modeling career, for advertising or in any other way, on or offline. The Model shall not post/share or duplicate the photos on their social media handles. 
  • CONFIDENTIALITY.

The Model shall keep the terms of this Agreement and the payment received as confidential and only share with a third party with prior written consent from the Company. 

  • EXCLUSIVITY/WAIVER.

The Model shall not, for term of this Agreement and for 1 years upon termination/cancellation, work with another modeling agency in the same State as the Company and/or engage with another agency in the same or similar market as the Company. The Model shall not share the same digital photos covered under this Agreement with any other modeling agency.

  • GENERAL PROVISION, GOVERNING LAW AND JURISDICTION. 
    1. This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof.  No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.
    2. The Parties agree to use mediation for dispute resolution in the unfortunate event of issues arising from the performance of this Agreement. This Agreement shall be governed by and construed in accordance with the laws of Texas, USA. Exclusive jurisdiction and venue shall be in Texas, USA.
    3. This Agreement shall be binding upon and inure to the benefit of the Company and the Model and their respective successors and assigns, provided that the Model may not assign any of their obligations under this Agreement without the Company’s prior written consent.  
    4. Each party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in the negotiation, execution, delivery, performance, and any termination of this Agreement.

IN WITNESS WHEREOF, this Agreement has been executed by the parties as of the Effective Date.
