MANAGEMENT AND PRODUCTION AGREEMENT

AMONG
- Angelica Mascall, hereinafter referred to as (“Artist”)
AND
- Brokenberry Entertainment, LLC, owned by Miranda Brokenberry, with an address at 2500 Dallas HWY SW STE 202-1465 Marietta GA 30064-7505, hereinafter referred to as (“Manager”)
AND
- Beat Bender Production’s, owned by Gregory David Robertson ll, hereinafter referred to as (“Producer”) collectively referred to as the “Parties,”
RECITALS
WHEREAS, Artist, Angelica Mascall, is an aspiring artist seeking representation and management services to further her career in the entertainment industry;
WHEREAS, Brokenberry Entertainment, LLC, owned by Miranda Brokenberry, is an established entertainment management company with expertise in artist representation and career development;
WHEREAS, Beat Bender Production’s, owned by Gregory David Robertson ll, is a renowned music production company with a track record of producing successful music recordings;
WHEREAS, the Parties acknowledge that a collaborative effort between Artist, Manager, and Producer will enhance the Artist’s prospects for success;
WHEREAS, Artist desires to engage the services of Manager and Producer, and Manager and Producer are willing to provide such services on an exclusive basis;
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties agree as follows:
- TERM:
4.1 This Agreement shall commence on [Commencement Date] and shall continue for a period of one (1) year, unless earlier terminated as provided herein.
- REPRESENTATION AND MANAGEMENT SERVICES:
5.1 Manager’s Services:
Manager agrees to provide exclusive representation and management services to the Artist in all matters relating to her career in the entertainment industry. These services include, but are not limited to:
(a) Negotiating and securing recording contracts, licensing deals, live performance agreements, and any other related contracts on behalf of the Artist.
(b) Promoting and marketing the Artist’s work, including the scheduling of media appearances, interviews, and public relations activities.
(c) Overseeing the Artist’s branding, image development, and social media presence.
(d) Assisting in the selection of songs, producers, and collaborators for the Artist’s music projects.
(e) Advising and guiding the Artist in career decisions, artistic development, and strategic planning.
(f) Providing general career support and professional guidance to enhance the Artist’s success.
5.2 Producer’s Role:
Producer shall serve as the exclusive producer of the Artist’s music recordings during the term of this Agreement. Producer agrees to provide his services to the Artist, including but not limited to:
(a) Producing, arranging, and engineering the Artist’s music recordings.
(b) Coordinating with other musicians, session players, and technical personnel necessary for the creation of high-quality music recordings.
(c) Ensuring that the music recordings meet professional standards and industry expectations.
(d) Assisting in the selection of suitable songs and compositions for the Artist’s projects.
(e) Collaborating with the Artist and Manager to create a cohesive artistic vision.
- EXCLUSIVITY
6.1 During the term of this Agreement, the Artist agrees to retain Manager and Producer exclusively as her representatives for all matters related to her career in the entertainment industry. The Artist shall not engage the services of any other manager, producer, agent, or representative without prior written consent from Manager and Producer.
- CONFIDENTIALITY:
7.1 During the term of this Agreement and thereafter, the parties agree to keep all information related to the Artist’s career, business affairs, finances, strategies, and any other confidential information disclosed by either party in connection with this Agreement confidential. The parties shall not disclose such confidential information to any third party without the prior written consent of the disclosing party, except as required by law.
- TERMINATION:
This Agreement may be terminated before the expiration of the term under the following circumstances:
8.1 Termination for Cause: Either party may terminate this Agreement for cause upon written notice to the other party in the event of a material breach of any provision of this Agreement by the other party, provided that the breaching party has failed to cure such breach within thirty (30) days after receiving written notice specifying the nature of the breach.
8.2 Termination for Convenience: Either party may terminate this Agreement without cause by providing thirty (30) days’ prior written notice to the other party.
8.3 Effect of Termination: Upon termination of this Agreement, all rights and obligations of the parties hereunder shall cease, except for any accrued rights or obligations that expressly survive termination
- DISPUTE RESOLUTION MECHANISM:
9.1 Any disputes arising out of or relating to this Agreement shall be resolved through binding arbitration in accordance with the rules and procedures of the American Arbitration Association.
9.2 The arbitration shall take place in Georgia unless otherwise agreed upon by the Parties. The decision rendered by the arbitrator(s) shall be final and binding on both Parties.
- GOVERNING LAW AND JURISDICTION:
10.1 This Agreement shall be governed by and construed in accordance with the laws of the state of Georgia. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Georgia.
- ENTIRE AGREEMENT:
11.1 This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written.
- AMENDMENT:
12.1 No modification or amendment of this Agreement shall be valid or binding unless it is in writing and duly executed by all parties hereto.
- COUNTERPARTS:
13.1 This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
