INVESTMENT AGREEMENT

This Investment Agreement herein referred to as the “Agreement” is made and entered into on _____________________herein after the “Effective Date”, between______________________ herein after the ”company”, and________________________ herein after referred to as the “investor”.

WHEREAS the parties herein have willingly agreed to enter into this Agreement to provide investment in the project in consideration of twenty percent of the profit of each sale to be paid by the company.   

The parties hereby agree as follows:

1. Investment.  

Within 30 days from the Effective Date, the investor shall remit to the company a cash payment of $10,000, from now on referred to as the “Investment.” 

2. Benefit.  

In return for the Investment, the company agrees to pay the investor an amount equal to twenty percent (20%) of the profit of each sale of the prosthetic kit herein referred to as the “Product.”

3. Confidentiality.  

All the terms and conditions of this Agreement and any confidential information must be kept confidential unless disclosure is required under the process of law. 

Disclosing or using this information for any purpose beyond the scope of this Agreement or the exceptions set forth above is expressly forbidden without the Parties’ prior consent.

The Parties agree that the confidentiality clause in this Agreement will remain active and in power even upon the completion.

4. Warranties.

The investor warrants that he will not claim his entitled benefit under this agreement if the company does not sell the product.

The company warrants that it will do everything in its favor to sell the product so that the investor gets his benefit under this agreement.

5. Conflict Resolution.

The company and the investor hereby mutually agree to have mutual negotiations in good faith if there arises a dispute and/or conflict concerning the services, interpretation, obligations, etc., envisioned under this agreement. If the negotiations fail, parties may resolve the issue/dispute/conflict through neutral Arbitration. The decision and award of the arbitrator shall be final and binding on all parties. The costs of such proceedings shall be borne equally by both parties.

6. Entire Agreement.  

This Agreement contains the entire understandings of the parties concerning the subject matter herein and supersedes all previous agreements (oral and written), negotiations, and discussions.  The descriptive headings of the sections of this Agreement are inserted for convenience only and shall not control or affect the meaning or construction of any provision hereof.  

Any modifications or amendments to this Agreement must be in writing and signed by both parties.

7. Choice of Law.  

This Agreement shall be construed, governed, interpreted, and applied according to the State of California laws. 

8. Waiver.  

The waiver by either party of the breach of any covenant or provision in this Agreement shall not operate or be construed as a waiver of any subsequent breach by either party.

9. Severability.  

In the event a court of competent jurisdiction declares any term or provision of this Agreement to be invalid or unenforceable for any reason, this Agreement will remain in full force and effect, and either: 

1. The invalid or unenforceable provision(s) will be modified to the minimum extent necessary to make such provision(s) valid and enforceable; or 
2. If such a modification is not possible, this Agreement will be interpreted as if such invalid or unenforceable provision(s) were not a part of this Agreement.

10. Counterparts.  

This Agreement may be executed in any number of counterparts, all of which will constitute the same instrument and be an original of this Agreement.
