INVESTMENT AGREEMENT

THIS INVESTMENT AGREEMENT (the “Agreement”) dated this _____ day of February, 2021 (the “Effective Date”) BETWEEN:

(the “Investor”)

AND

Insert Name of Creator of Insert Address of Creator

(the “Creator”)

NOW, THEREFORE, in view of all the foregoing premises, covenants, and understandings, and for all other good and valuable consideration, the parties hereby agree as follows:

Terms and Conditions

  1. Investor agrees to buy __% of Creator’s brand as Capital Investment for Creator to use in their operations.
  2. Creator shall have no restrictions regarding their use of the Capital Investment, with the exception of use on activities and operations unrelated to Creator’s conduct of business and/or improper, illicit, or illegal activities.
  3. Creator represents and warrants to Investor that the Capital Investment shall be used by Creator in their conduct and operation of the business.
  4. Creator agrees that Investor will receive __% of the profits from Creator’s brand as return on investment.
  5. Investor and Creator agree that Insert Name of Your Company shall not be held liable for any action arising out of this Agreement.

 

Term

  1. This Agreement shall commence on the Effective Date and shall continue until Insert Date When the Investment Will End (the “Termination Date”), unless otherwise terminated by either or both parties of this Contract prior to the Termination Date.
  2. Except as otherwise provided in this Agreement, the obligations of the Investor will end upon the termination of this Agreement.

 

Intellectual Property

  1. Creator shall retain all intellectual property rights to their works. Investor will not be eligible for Creator’s intellectual rights under any circumstance.

Performance

  1. The Parties agree to do everything necessary to ensure that the terms of this Agreement take effect.

 

Currency

  1. Except as otherwise provided in this Agreement, all monetary amounts referred to in this Agreement are in US Dollars.

Notice

  1. All notices, requests, demands or other communications required or permitted by the terms of this Agreement will be given in writing and delivered to the Parties of this Agreement as follows:

            or to such other address as any Party may from time to time notify the other.

Modification of Agreement

  1. Any amendment or modification of this Agreement or additional obligation assumed by either Party in connection with this Agreement will only be binding if evidenced in writing signed by each Party or an authorized representative of each Party.

 

Assignment

  1. No party will voluntarily, or by operation of law, assign or otherwise transfer its obligations under this Agreement without the prior written consent of the other party.

 

Severability

  1. In the even that any of the provisions of this Agreement are held to be invalid or unenforceable in whole or in part, all other provisions will nevertheless continue to be valid and enforceable with the invalid or unenforceable parts severed from the remainder of this Agreement.

 

Waiver

  1. The waiver by either Party of a breach, default, delay or omission of any of the provisions of this Agreement by the other Party will not be construed as a waiver of any subsequent breach of the same or other provisions.
