INDEPENDENT CONTRACTOR AGREEMENT.
This Agreement is entered on ______________ between
_______________________ (hereinafter referred to as the “Client” on behalf of
Kemetic Wellness Sacred Healing Center) and _______________________
(hereinafter referred to as the “Instructor”). Together referred to as the “parties”.
WHEREAS, Kemetic Wellness Sacred Healing Center is a non-for-profit
indigenous cultural organization that focuses on the Afrakan Holistic Lifestyle;
Parties herein agree to be bound by the following terms and conditions; –
1. Services.
The Client herein agrees to hire the instructor to teach mdw ntchr (Egyptian
hieroglyphs).
The agreed working/teaching hours are ___________ hours a week; –
i. Monday to Friday from _______ to ____________ and;
ii. Saturday from ___________ am to ___________
2. Term.
The Agreement between the parties shall be for ______________ subject to change
as agreed between the parties herein.
3. Signing Up.
The students will sign up for the course on the Client’s website
www.kemeticwellness.com.
4. Compensation.
The Client shall receive 30% for each student that signs up through the site
(excluding taxes and processing fees).
The instructor shall receive _________ as compensation for the services herein per
month.
5. Start date.
The effective date of this Agreement shall be on ______________.
6. Profile.
Parties herein agree that the instructor must maintain a professional profile on
www.kemeticwellness.com, which includes an accurate profile pic of their face (no
other images like – flowers, quotes, etc. – only the person’s face) and a biography for
the website.
7. Instructor’s Duties and Obligations.
The instructor will not be permitted to take students who signed up on the website
and ask them to bypass the website for future classes (to avoid paying the 30% fee).
The instructor is responsible for answering any of the student’s questions pertaining
to the class, grading tests, homework assignments, etc.
The instructor should make himself available to present on our social media
platforms to promote the course and encourage to share all promotional materials
including flyers, newsletters, and social media content.
The instructor herein acknowledges that the teachings must be in alignment with
KWSHC’s mission and core values.
8. Confidentiality.
During the performance of this Agreement, the instructor shall have access to the
Client’s confidential information, which shall not be shared with any third parties
without prior written consent.
9. Termination.
Either party to this Agreement can terminate the terms herein at any time by issuing
a written notice.
In the event the instructor violates the terms of this agreement, the same shall be
deemed immediately terminated and a penalty of ______________.
10. Dispute Resolution.
If there arises any conflict or dispute during the performance of this Agreement, the
same shall be negotiated between the parties amicable. If the same fails, the
disagreement or dispute shall be referred to a neutral arbitrator whose final decision
will be binding upon the parties.
11. Relationship.
The relationship between the Client and the instructor is that of an Independent
Contractor and nothing should be construed to mean otherwise.
12. Governing Law.
The provisions of this Agreement shall be construed and interpreted in accordance
with the laws of __________.
13. Entire Agreement.
This Agreement contains the complete and entire Agreement of both
parties. There are no other promises or conditions, oral or written, outside
of what is contained herein in this Agreement. This Agreement supersedes
any prior written or oral agreements between both parties.
14. Severability.
Should any provision contained within this Agreement be deemed invalid
or unenforceable, in part or whole, such invalidity or unenforceability will
attach only to the particular provision or portion of this Agreement. In
contrast, the remaining aspects of the said provision and all other
provisions of this Agreement shall remain in full force and effect.
