INDEPENDENT CAREGIVER AGREEMENT

This Independent Caregiver Agreement (“Agreement”) is made and entered into
by the undersigned parties: Alexandra of Blazing Health
and _______ (known as the “Caregiver”). 
                                                                                   
In consideration of the promises, rights and obligations set forth below, the
parties hereby agree as follows: 

1. Term
   The term of this Agreement shall begin on ____ and continue
   until _______, unless terminated earlier as set forth in this
   Agreement. The term of this Agreement may be extended by mutual agreement
   between the parties.
2. Services
   The Caregiver will provide the following services:

3. Compensation
   Subject to providing the services outlined above, the Caregiver will be paid the
   sum of $XX per day/week/month/upon completion of the services.
4. Relationship
   The Caregiver will provide the Caregiver’s services to Alexandra as an
   independent contractor and not as an employee.   
   Accordingly:
    The Caregiver agrees that Alexandra shall have no liability or
   responsibility for the withholding, collection, or payment of any taxes,
   employment insurance premiums Pension Plan contributions on any
   amounts paid by Alexandra to the Caregiver. The Contractor agrees to
   indemnify Alexandra from any and all claims regarding Alexandra’s
   failure to withhold and/or remit any taxes, employment insurance
   premiums, or Pension Plan contributions.
    The Caregiver agrees that the Caregiver will not be qualified to
   participate in or receive any employee benefits as an independent
   contractor.
    The Caregiver is free to provide services to other clients, so long as
   there is no interference with the Caregiver’s contractual obligations to
   Alexandra.

  For at least 6 months, the Caregiver cannot work for Alexandra’s client
for any amount less than that agreed by the Client and Alexandra.
Working for lesser amounts by the Caregiver will be considered a breach
of this Agreement.
 
 The Caregiver agrees to indemnify and hold harmless Alexandra from all
claims, losses, expenses, fees, including attorney fees, costs, and
judgments that may be asserted against Alexandra that result from the
acts or omissions of the Caregiver.

5. Confidentiality 
   The caregiver may have had access to proprietary, private, and/or otherwise
   confidential information (“Confidential Information”) of Alexandra. Confidential
   Information shall mean all non-public information which constitutes, relates, or
   refers to the operation of the business of Alexandra, including without
   limitation, all financial, investment, operational, personnel, sales, marketing,
   managerial and statistical information of Alexandra, and any and all trade
   secrets, customer lists, or pricing information of Alexandra. The nature of the
   information and the disclosure manner is such that a reasonable person would
   understand it confidential. The Caregiver will not, at any time or in any
   manner, either directly or indirectly, use for the caregiver’s personal benefit,
   divulge, disclose, or communicate in any manner any Confidential Information.
   The Caregiver will protect such information and treat the Confidential
   Information as strictly confidential. This provision shall continue to be effective
   after the termination of this Agreement,
6. Termination
   The independent caregiver relationship contemplated by this Agreement is to
   conclude on DATE unless terminated earlier as set forth below. The Caregiver
   agrees that no additional advance notice or fees in lieu of notice are required
   if the relationship terminates on DATE.  
   The Caregiver agrees that Alexandra may terminate this Agreement at any time
   without notice or any further payment if the Caregiver is in breach of any of
   the terms of this Agreement.
   Alexandra may terminate this Agreement at any time at its sole discretion,
   upon providing to the Caregiver 30 calendar days’ advance written notice of its
   intention to do so or payment of fees in lieu thereof.  
      
   The Caregiver may terminate this Agreement at any time at its sole discretion
   upon providing to Alexandra 3o calendar days’ notice of Caregiver’s intention to
   do so.

7.        Obligations Surviving Termination of this Agreement  
All obligations to preserve Alexandra’s Confidential Information and other
warranties and representations set forth herein shall survive this Agreement’s
termination.
