FREELANCE WRITING SERVICES AGREEMENT

BETWEEN

1.[Your Name], hereinafter referred to as the “Writer,”

AND

  1. [Client’s Company], hereinafter referred to as the “Client,” collectively referred to as the “Parties,”
  2. TERM:

This Agreement shall commence on the Effective Date and shall continue until the completion of the Services, unless terminated earlier in accordance with the provisions of this Agreement.

  1. SCOPE OF WORK:

The Writer agrees to provide freelance writing services to the Client, as outlined in the attached document titled “[Package/Service Description].” The Parties acknowledge that the specific details, deliverables, and compensation for each project shall be mutually agreed upon in writing or through email correspondence.

“5. PAYMENT TERMS:

  1. The Client shall pay the Writer a rate of $100 per hour of work, as outlined in the attached document titled ‘[Package/Service Description].’ Payment shall be made as follows:
  2. For à la carte purchases, the Client shall pay half of the total estimated project cost upfront before the Writer commences work. The remaining balance shall be paid once the project is complete.
  3. For monthly packages, the Client shall make a single monthly payment on the 10th of each month, with a grace period of 3-5 days to make the payment.
  4. Unless otherwise stated in writing, all additional project-related expenses, as outlined in section 6, shall be covered by the Client and shall be payable within [number of days] upon submission of the expense report or invoice.
  5. The Client shall make all payments in USD and in a manner agreed upon by both Parties.
  6. In the event of non-payment by the Client within two (2) weeks of the due date, the Writer reserves the right to suspend work or terminate the agreement, as outlined in section 10.
  7. ADDITIONAL EXPENSES:
  8. The Client acknowledges that certain projects may require additional expenses, such as fees for acquiring public records, research materials, or specialized resources. The Client agrees to cover all such reasonable and pre-approved expenses related to the project.
  9. The Writer shall provide the Client with receipts or documentation for all additional expenses incurred and shall be reimbursed by the Client within [number of days] upon submission of the expense report or invoice.
  10. SALES TAX:
  11. The Writer’s fees specified in this Agreement are exclusive of any applicable sales tax or value-added tax (VAT). The Client acknowledges that it is solely responsible for any sales tax or VAT obligations imposed by the jurisdiction of its business.
  12. The Writer shall not collect or remit any sales tax or VAT on behalf of the Client.
  13. The Client agrees to indemnify and hold the Writer harmless from any claims, penalties, or liabilities arising from the Client’s failure to comply with applicable tax laws or obligations.
  14. INTELLECTUAL PROPERTY:
  15. Unless otherwise agreed in writing, all intellectual property rights, including copyrights, pertaining to any content or materials created by the Writer under this Agreement shall belong to the Client upon payment in full.
  16. The Writer retains the right to use any work created under this Agreement in their portfolio, website, or promotional materials to showcase their skills and expertise.
  17. CHANGE IN SCOPE:

Any changes or additions to the scope of work originally agreed upon by the Parties must be mutually agreed upon in writing. The Writer reserves the right to adjust the project timeline and compensation accordingly.

  1. INDEPENDENT CONTRACTOR RELATIONSHIP:

The Freelancer is an independent contractor and not an employee, partner, or agent of the Client. The Freelancer shall be responsible for their own taxes, insurance, and other statutory obligations.

  1. TERMINATION:
  2. Either party may terminate this Contract with written notice if the other party breaches any material term of this Contract.
  3. Upon termination, the Client shall pay Freelancer for the work completed up to the termination date.
  4. DISPUTE RESOLUTION:

Any dispute arising out of or relating to this Agreement shall be resolved through mediation administered by the American Arbitration Association in accordance with its Commercial Mediation Procedures. If the dispute cannot be resolved through mediation, the parties agree to submit to the exclusive jurisdiction of the courts located in Texas.

  1. CONFIDENTIALITY:

Both Parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the Services and not to disclose or use such information for any purpose other than the performance of this Agreement, except as required by law.

  1. GOVERNING LAW:

This Agreement shall be governed by and construed in accordance with the laws of the state of Texas, without regard to its conflict of laws principles.

  1. ENTIRE AGREEMENT:

This Agreement constitutes the entire understanding between the Parties and supersedes all prior discussions, understandings, or agreements, whether written or oral.

  1. COUNTERPARTS:

This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
