FM Gallery Creator Agreement
This FM Gallery AGREEMENT is entered into by and between FM Fund Limited (“FM Gallery”) and _______________(the “FM Gallery Creator”). This FM Gallery Creator Agreement and the Terms of Use (as may be amended from time to time), available separately, which are hereby incorporated by reference (collectively, the “Agreement”), set forth the terms and conditions governing the relationship between FM Gallery and the FM Gallery Creator.
- Definitions.
- “NFTs” shall mean non-fungible tokens.
- “Primary Market” shall mean the FM Gallery marketplace that allows FM Gallery Creators to sell NFTs to customers.
- Fees and Proceeds. The following fees and proceed breakdowns will apply to FM Gallery transactions:
- Primary Market: FM Gallery Creator will receive 80% of the retail price of each work retained by FM Gallery after the sale of each work in the Primary Market. The retail price of each artwork is provided by the Creator before the listing of the artwork on FM Gallery. Additionally, FM Gallery will deduct transaction fees from FM Gallery Creator’s proceeds to cover the cost of payment processing.
- FM Gallery and Creator will work together to agree on any changes to the Primary Market fees. FM Gallery will notify FM Gallery Creator thirty (30) days before it makes any change to FM Gallery’s Primary Market fees. FM Gallery Creator agrees to provide FM Gallery with thirty (30) days notice before it makes any change to FM Gallery Creator’s Primary Market fees. FM Gallery reserves the right to deny unreasonable changes to FM Gallery Creator’s Primary Market fees. 3. Marketing and Promotions
FM Gallery Creator hereby agrees to participate in FM Gallery’s marketing activities, including (but not limited to) Clubhouse events, social media announcements, etc.
IN WITNESS WHEREOF , the parties, intending to be legally bound, have had this Agreement signed by their duly authorized representatives.
