EXECUTIVE COACHING SERVICE CLIENT CONTRACT

This Executive Coaching Service Agreement (the “Agreement”) is made and entered into as of [DATE], (the “Effective Date”) between [Your Company Name], a XXX registered business operating remotely from XXX, with its principal office located at [Your Address], (“Coach” or “Service Provider”) and [Client’s Full Name], residing at [Client’s Address] (“Client”).

Recitals

WHEREAS, [Your Company Name] (“Coach”) is an online Executive Coaching service provider, registered in XXXX and operating remotely from Canada, specializing in providing professional coaching services to clients worldwide.

WHEREAS, [Client’s Full Name] (“Client”) desires to engage the services of the Coach to receive online executive coaching services to enhance their personal and professional development.

WHEREAS, the Coach and the Client intend to enter into an agreement that outlines the terms and conditions governing the provision of coaching services and the responsibilities of both parties.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows:

  1. Scope of Services
    • The Coach agrees to provide online executive coaching services to the Client, as described in the coaching package selected by the Client, which may include but not be limited to:
      • Virtual coaching sessions
      • Assessments and feedback
      • Goal setting and action planning
      • Email support between sessions
      • Any other services agreed upon in writing by both parties
    • The specific details of the coaching package, including the services to be provided and the associated fees, shall be outlined in the Schedule A attached hereto.
  2. Payment Terms
    • The Client shall pay the agreed-upon coaching fee as per the selected coaching package. Payment terms will be specified in the Schedule A.
    • The Coach reserves the right to withhold or suspend services until payment is received in full.
  1. Guarantee and Refunds
    • The Coach is committed to delivering high-quality services. If the Client is dissatisfied with the coaching services, the Coach will make reasonable efforts to address and resolve any issues.
    • However, the Coach does not provide any specific outcome guarantee.
    • The Client acknowledges that results may vary and depend on various factors, including the Client’s commitment and engagement in the coaching process.
    • Refunds, if applicable, will be governed by the terms outlined in the Schedule A.
  1. Liability and Limitations
    • The Client agrees that the Coach shall not be held liable for any direct, indirect, incidental, consequential, or special damages arising out of or in any way connected with the coaching services.
    • The Coach’s liability is limited to the amount paid by the Client for the coaching services.
  1. Intellectual Property
    • All materials and resources provided by the Coach during the coaching sessions are protected by intellectual property rights.
    • The Client agrees not to reproduce, distribute, or share such materials without the prior written consent of the Coach.
  1. Dispute Resolution
    • In the event of any dispute or disagreement arising out of or related to this Agreement, both parties agree to first attempt to resolve the dispute through mediation. The costs of mediation shall be borne equally by both parties.
    • If mediation fails to resolve the dispute, then both parties agree to resolve the matter through binding arbitration.
    • Notwithstanding the above, either party may seek injunctive relief or any other equitable remedy in the appropriate court for matters involving intellectual property rights or the misuse or unauthorized disclosure of confidential information.
  1. Governing Law and Jurisdiction
    • This Agreement shall be governed by and construed in accordance with the laws of [State/Province], [Country], without regard to its conflicts of laws principles.
    • Any legal actions or proceedings arising out of or relating to this Agreement shall be brought exclusively in the courts of [State/Province], [Country].
  1. Entire Agreement
