DIGITAL MARKETING AGREEMENT
This Digital Marketing Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2021 (the “effective date”), between BAM Brand Awareness Masters, Contact Info; __________ (hereinafter referred to as the “Agency”), and ____________, Contact Info; ____________ (herein referred to as the “Client”).
WHEREAS, the Agency is an online digital platform that offers its clients digital Ads and/or marketing campaign services. The Agency shall, under this Agreement, offer its clients a 30 Days trial of its services provided that the clients shall not, under any circumstances during and after the 30 days, share, re-use, sell or reproduce the digital Ads and/or marketing campaigns without the Agency’s prior written consent.
NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:
- TERM.
The initial term of this Agreement shall be for a period of One Month commencing on the Effective Date herein, subject to
- SCOPE.
The Agency creates digital Ads and digital marketing campaigns for its clients for online/social media platforms such as Facebook. The Agency shall, under this Agreement, provide the Client the following services:

- PAYMENT.
The Client shall pay Three Thousand Dollars ($3,000) monthly service fees for the services offered under this Agreement, excluding the Ad spend/budget. Note; during the first 30 days, the payment shall be waived.
- TERMINATION/CANCELLATION.
- The Parties agree that this Agreement shall be automatically terminated upon the expiry of the Term herein, if the Client express that they do not wish to continue with the services provided or if they fail to pay for the services.
- Upon termination/cancellation of this Agreement, any and all digital Ads and/or digital marketing campaigns services shall be discontinued and deleted permanently from the Client’s platforms.
- The Agency may, at any time and without prior notice to the Client, cancel/terminate this Agreement in the event of breach of contract by the Client.
- COPYRIGHT/LIABILITY.
- The Agency shall own all the proprietary rights on the digital Ads and marketing campaigns produced for the Client during the term of this Agreement and upon termination/cancellation thereof. The Client shall not reuse, share, sell, pass off as their own original work or reproduce the digital Ads and/or marketing campaigns covered under this Agreement without the Agency’s prior written consent.
- The Agency shall not be held responsible for any liability arising from the use of the digital Ads and/or digital marketing campaigns, or be held liable for any claims thereof. The Agency shall not be held responsible for any copyright infringement arising from images or content that the Client approves as digital Ads and/or digital marketing campaigns posted on their online platforms. The Client shall assume all the legal responsibility associated with the digital Ads and/or marketing campaigns during the term of this Agreement, and the termination/cancellation thereof.
- GENERAL PROVISION, GOVERNING LAW AND JURISDICTION.
- This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof. No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.
- This Agreement shall be governed by and construed in accordance with the laws of the ____ [State/Country]. Exclusive jurisdiction and venue shall be in ____ [State/Country].
- This Agreement shall be binding upon and inure to the benefit of the Agency and the Client and their respective successors and assigns, provided that the Client may not assign any of their obligations under this Agreement without the Agency’s prior written consent.
- Each party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in the negotiation, execution, delivery, performance, and any termination of this Agreement.
