CONTRACT FOR PROVISION OF WIRELESS SERVICES
This agreement is entered into on the ……………………day of ………………………….2021 between ……………. (hereinafter referred to as ‘Device Owner) on the first part and identity Inc. (hereinafter referred to as “service provider’) of the second part. The parties desire to enter into this agreement for provision of wireless services upon the set terms herein.
IN CONSIDERATION of the mutual agreement set forth below, and other valuable and good consideration, the adequacy and receipt of which is hereby acknowledged, by the service provider and the device owner as follows:
TERMS AND CONDITIONS
The parties agree that the consideration paid to the service provider will be 50% of the sum paid to the device owner.
This agreement is for the provision of services to users with the wireless device being the mode of transmission. The service provider may make necessary modifications, enhancements, updates in compliance with the agreement herein. The service provider will make the necessary changes to endure that the device as per the installation are working effectively.
TECHNICAL REQUIREMNET
The Device owner will register the service provider on its content manager website giving him an account for purposes of enabling the verification, update and approval of any enhancements made. The device owner will also provide documentation to the service provider to enable the support of the style and design of the services that are offered with the service provider undertaking to adhere to the technical documentation required.
USER SUPPORT
The device owner reserves the right to set up the user terms that may include terms for the use of premium services inside the device where applicable. Service provider will be responsible for the support issues that may arise and inquiries and placements therein.
PLACEMENT
The device owner will place a link to the provider service according to the appropriate portion as per the agreement. The link that the service provider is issued with may be reviewed with the full knowledge of the parties.
TEMPORARY SUSPENSION OF SERVICE PROVIDER
The device owner may temporarily suspend the service provider where it deems necessary to resume the normal operations and will inform users of the changes immediately upon the suspension.
The device owner reserves the right to suspend the services of the service provider at any time where there is fraudulent mispresentation, misleading of users among other unprofessional conduct. The said suspension my take immediate effect where there is wrongful conduct bit where it is for renovations or modifications a fourteen-day notice must be issued.
PAYMENT
The device owner will end the amount owed to the service provider on a monthly basis vat the rate of 50% of the profits earned. The device owner will also be required to provide a summary of the income received, the charges for premiums that have been offered to users with reconciliation expected after every financial year.
OTHER REVENUE SHARING
The device owner will receive a [portion of the transaction revenue that is received by the service provider except for transactions outside the scope of this agreement.
BREACH OF CONTRACT
Either party may terminate the contract if there is breach of any material term in this agreement. The material breach in this case is one that cannot be cured without going to the root of the contract. The parties shall at all times comply with the applicable federal and state laws.
CONFIDENTIALITY
Neither part will disclose any information of the terms herein without the written consent of the other party. The parties are under an obligation to maintain confidentiality with the terms of this agreement considered to be vital for the operation of the business. therefore, any release of such information shall be considered as breach.
RESOLUTUION OF DISPUTE
In case of any dispute as between the parties herein the same will be resolved through arbitration and in case there is disregard to the arbitral award issued then the aggrieved party may seek remedies available in a court of competent jurisdiction.
ENTIRE AGREEMENTS AND AMMENDMENTS
This agreement contains the entire understanding and terms between the parties and super cedes any agreements entered into in relation to this subject matter of this agreement.
