CONTRACT FOR GOVERNING OPERATIONS BETWEEN PONTEMEX AND OVERSEAS PARTNERS.

BETWEEN
- Pontemex of (Address) …………….. hereinafter referred to as ‘the trading company.’
AND
- ………………………(Insert 2nd Party’s name) of (Address)……………………. hereinafter referred to as ‘overseas partner.’
TERMS AGREED UPON BY THE PARTIES:
- The trading company agrees with the overseas partner to source products for the trading company’s clients, hereinafter referred to as ‘buyer.’
- The overseas partner shall get the products under the best possible rates and conditions.
- For any deal to be closed, the finance will be directly transferred from the buyer to the seller without the trading company and the overseas partner from touching the money directly.
- The commercial contract will be signed by the buyer and seller directly.
- All communication between the buyer and the seller will always be handled by the trading company (representing the buyer) and the overseas partner (representing the seller).
- Both the trading company and the overseas partner will be in charge of the day-to-day required operations for operating and closing each deal; therefore, each side is responsible for communicating with his side of the deal (buyer and seller)
- Profit will come from adding a commission on the seller’s invoice, and once the deal is closed, the seller will reimburse the trading company and the overseas partner.
- Commission paid by the seller to the trading company and overseas partner will be determined on a case-to-case basis; however, when the seller will eventually make the payment, he/she will do it simultaneously to the trading company and the overseas partner.
- As there are 2 partners on the trading company’s side, the profit share will always be divided into 3. 66% to the trading company and the rest to the overseas partner.
- The governing law will by the state of Israel.
- Each side will be responsible for tax payment for the commission earned.
- This Contract contains the whole agreement and understanding between the parties herein. It supersedes all previous contracts (if any), whether written or oral, between the parties regarding such matters.
