CONTRACT BETWEEN BEADS BLING LLC AND JESSICA THOMPSON

BETWEEN

1.Party A: Beads Bling LLC, a registered company in Wyoming, USA, with its primary office located at XXXX, hereinafter referred to as (“Beads Bling LLC.”)

AND

  1. Party B: XXXX, residing at XXXX, referred to as (“XXXX.”)

RECITALS

WHEREAS, Beads Bling LLC seeks to establish an Etsy account for the purpose of expanding its online presence and enhancing its sales and marketing efforts in the United States.

WHEREAS, Jessica Thompson has agreed to facilitate Beads Bling LLC in this endeavor by allowing the use of her name and Social Security Number (SSN) solely for the purpose of opening, verifying, and completing the full verification process, including verification on call with Etsy, for the aforementioned Etsy account in the USA. Jessica will also provide her Social Security Number (SSN) directly to Etsy during the verification process.

NOW, THEREFORE, both parties’ consent to the following terms and conditions:

  1. REPRESENTATION AND OWNERSHIP:
  2. Jessica Thompson agrees to act as the representative of Beads Bling LLC on Etsy, using her name exclusively for the purpose of opening, verifying, and completing the full verification process, including verification on call with Etsy, for the Etsy account. It is important to note that Jessica shall input her Social Security Number (SSN) directly on Etsy during the verification process. Beads Bling LLC will not request or retain this information, and it will not be shared with Beads Bling LLC. This is done to ensure the utmost security and confidentiality of Jessica’s personal information.
  3. Jessica Thompson shall not have any ownership stake, partnership interest, or entitlement to Beads Bling LLC’s profits, either in whole or in part.
  4. Jessica Thompson shall not, at any time, open or attempt to open an Etsy shop or account in her name for any reason without the express written permission of Beads Bling LLC.
  5. COMPENSATION:
  6. Beads Bling LLC shall provide Jessica Thompson with an initial payment of $200 upon successful verification of the Etsy account.
  7. Beads Bling LLC shall continue to compensate Jessica Thompson with $100 at the beginning of each month for as long as her name and SSN are utilized for the Etsy account.
  8. Payments will be disbursed within [Specify Payment Terms, e.g., 15 days] after the conclusion of each month.
  9. Jessica Thompson acknowledges that she is not entitled to any supplementary compensation or benefits beyond those explicitly detailed in this Contract.
  10. LIABILITY:
  11. Jessica Thompson shall not assume liability for any tasks, actions, or responsibilities related to Beads Bling LLC’s Etsy shop. Her sole responsibility is to provide her name and SSN for Etsy account verification.
  12. Beads Bling LLC shall indemnify and protect Jessica Thompson against any claims, obligations, losses, or damages arising from the usage of her name and SSN on Etsy.
  13. CONFIDENTIALITY:

Jessica Thompson shall treat all information, including but not limited to business strategies, customer data, pricing, and any other proprietary or confidential information provided by Beads Bling LLC, as strictly confidential. She shall not disclose, share, or use this information for any purpose other than fulfilling her duties outlined in this Contract. This confidentiality obligation extends beyond the termination of this Contract.

  1. INTELLECTUAL PROPERTY PROTECTION:

Jessica Thompson acknowledges and agrees that all intellectual property rights, including but not limited to trademarks, trade names, logos, and any other proprietary information associated with Beads Bling LLC, are the exclusive property of Beads Bling LLC. Jessica Thompson shall refrain from using, reproducing, or creating derivative works based on Beads Bling LLC’s intellectual property for any purpose other than opening, verifying, and completing the full verification process, including verification on call with Etsy, for the Etsy account on behalf of Beads Bling LLC.

  1. TERMINATION:
  2. Termination Restrictions: This Contract shall remain in force for a minimum period of 10 months from the effective date. During this initial 10-month term, both parties acknowledge that the agreement shall not be terminated, and XXXX will not request the removal of her name from the Etsy account.
  3. Automatic Termination: The Contract will automatically terminate when Beads Bling LLC removes XXXX name from their Etsy shop, or if any issues arise during the verification process, Etsy rejects the verification, or if Etsy suspends the shop.
  4. Extension for Finding an Alternative: If Jessica Thompson wishes to terminate this Contract after the 10-month period, she shall provide Beads Bling LLC with written notice of her intent to terminate. In such a case, both parties agree to work together in good faith to find a suitable alternative arrangement. Jessica Thompson shall extend the termination date by a reasonable period, to allow Beads Bling LLC sufficient time to find an alternative solution.
  5. GOVERNING LAW AND JURISDICTION:
  6. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Wyoming, without regard to its conflict of law principles.
  7. Jurisdiction: Any legal action or proceeding arising under or in connection with this Agreement shall be brought exclusively in the courts of Wyoming, and the parties hereby submit to the personal jurisdiction of such courts.
  8. ENTIRE AGREEMENT:

This Agreement constitutes the entire understanding between the parties, supersedes all prior discussions, negotiations, and agreements, whether written or oral, relating to the subject matter herein.

  1. SEVERABILITY:

If any provision of this Agreement is held to be invalid or unenforceable under applicable law, such provision shall be deemed stricken while the remaining provisions shall continue in full force and effect.

  1. AMENDMENT AND WAIVER:

Any amendment or modification to this Agreement shall be valid only if executed in writing and duly signed by both parties. The waiver of any breach or default under this Agreement shall not constitute a waiver of any subsequent breach or default.
