CONSULTANCY AGREEMENT
This agreement made on this date ____________ will constitute an agreement between
_______________ (hereafter referred to as the “client”) and Nadia Worsley (CEO) of Twelve 88
Agency (hereafter referred to as the “Consultant”) for desired service(s) listed on the New Client
Form. This contract will be valid for 5 months starting from _____________ (hereafter referred to
as the “Effective date”).
1. Working Hours.
During this period, the Consultant agrees to devote a minimum of three (3) hours per week to the
assignment(s) in agreement with the Client’s needs. Work priority and scheduling will be at the
discretion of the Consultant.
Work will normally be performed during the hours of 8 am to 5 pm on weekdays. Overtime and
weekend work will be conducted as needed. These additional hours will be billed separately at the
normal $50/hr. The Conversation around overtime will be discussed before overtime.
Additional public relations duties outside the realm of regular work duties such as but not limited
to; court appearances, public speaking on Client’s behalf, and image recovery due to Client’s
indiscretions/use of poor judgment, etc. An additional fee of fifty dollars ($50.00) per hour will be
required.
2. Location.
Work will normally be performed at the offices of Twelve 88 Agency but occasionally may take
place at other locations, as required.
3. Retainer.
The monthly retainer fee will be $1,500/per month. The Payment will be split into two
installments.
The first payment will be on the 15 th of every month and the second payment will be on the last
day of every month.
4. Expenses.
The Client shall provide miscellaneous expenses for delivery services, long-distance telephone
calls, and travel beyond 25 miles from the Consultant’s location, meals, travel, hotel
accommodations, and transportation when traveling. (Discussion will take place before any of
these things happen.)
5. Non-disclosure.

All media contacts will remain the property of the Consultant and will not be given out.
6. Default.
An invoice and/or statement will be sent out and the Client must pay the balance due on the 15 th
and last day of the month each month. If payment is not received by the due date client will be
charged an additional 18% every day it’s late.
If the bill remains outstanding for thirty (30) days, the Consultant reserves the right to stop work
until payment is received. If the bill remains outstanding after ninety (90) days, the Consultant will
take legal action to receive payment(s).
7. Services.
Parties agree that the Consultant shall provide the following services; –
i. Customized PR campaign
ii. Creation & distribution of press releases and media outlets
iii. 8 media outlet pitches per month
iv. Securing & scheduling media interviews
v. Assisting with community relations and partnership development
vi. Monthly client packages, which includes pitch activity report, potential publicity
opportunities, additional branding/publicity tips
vii. Wrap up report
8. Confidentiality.
All information obtained by the Consultant from the Client shall be confidential. Such information
shall not be used by the Consultant or disclosed to others without prior written consent from the
Client. The client must not talk about contracts with other parties.
9. Termination.
Either party to this agreement may cancel the contract in writing at any time.

12. Waiver.
Suppose either party fails to enforce any provision contained within this Agreement. In that case,
it shall not be construed as a waiver or limitation of that party’s right to subsequently enforce and
compel strict compliance with every provision of this Agreement.
13. Governing Law.
This Agreement’s provisions shall be interpreted and governed by the laws of _____________.
14. Assignment.
The services to be provided and the payments herein shall not be assigned to any third parties
without the other party’s written consent.
15. Dispute Resolution Mechanism.
Any dispute, controversy, or claim arising out of or relating to this Agreement or the
interpretation, breach, or validity shall primarily be resolved through arbitration with the
Company’s choice of arbitrator, whose decision shall be final and binding.
16. Entire Agreement.
This Agreement contains the complete and entire Agreement of both the Consultant and the
Company. There are no other promises or conditions, oral or written, outside this Agreement, and
this Agreement supersedes any prior written or oral agreements between both parties.
17. Severability.
Should any provision contained within this Agreement be deemed invalid or unenforceable, in part
or whole, such invalidity or unenforceability will attach only to the particular condition or part of
this Agreement, while the remaining aspects of said provision and all other provisions of this
Agreement shall remain in full force and effect.
18. Modification.
The provisions and terms may be modified only in writing and signed by both parties.
